LETTER OF AGREEMENT <br />Behavioral Health Crisis Diversion Facility <br />Orange County <br />November 7, 2022 <br />Page 2 of 3 <br /> <br />one or two-story building based on the developed clinical programming. At the conclusion of <br />our planning efforts our deliverables will include, but not be limited to: <br />1. Site Plan(s) and required narrative assessments <br />2. Building program <br />3. Operational framework/service delivery, as well as operational costs estimates <br />4. Plan bubble diagrams <br />5. M/E/P narratives and single line diagrams <br />6. Renderings (As required) <br />7. Construction cost estimates <br />SCHEDULE <br />While no overall schedule has been determined, CPL + RHA will proceed forward in the most <br />expeditious manner possible. Our proposed duration of the efforts described within this <br />proposal are further described in the schedule included in our RFP response to Orange <br />County. <br />EXCLUSIONS AND CLARIFICATIONS <br />1. This proposal is based off the scope of work as described in RFQ No 367-OC535 issued by <br />Orange County. <br />2. This fee proposal does not include medical equipment planning fees. <br />3. Site borings, and special inspections are excluded from CPL’s scope of services. <br />4. Cost estimation and building massing assumes cost comparisons will be required for up <br />to two different sites. <br />5. The schematic package will not be submitted to DHSR unless specifically requested by <br />the Client. <br />6. Additional exclusions and clarifications as noted in the accompanying sub-consultant <br />proposals. <br />7. Site surveys are included in the proposal as an allowance that will only be billed once <br />costs are incurred, and/or necessary. The cost of the survey was estimated on two sites <br />needing boundary, topo, and utility location. <br />8. Any items not contained in our Scope of Services or contrary to the assumptions listed <br />above will be deemed additional services. If requested by the Client, additional services <br />will be provided on an hourly basis at our Standard Hourly Billing rates, or as a fixed fee <br />mutually agreed to in advance by both parties. <br />CLIENT RESPONSIBILITIES <br />The Client shall appoint an “Owner’s Representative” to act as the point of contact for CPL. It <br />shall be the responsibility of the client to provide the following: <br />· Reasonable advance notice of scheduled meetings. <br />· Decisions on critical issues in a timely manner. <br />· Payment of all invoices in accordance with this agreement. <br />COMPENSATION <br />CPL agrees to provide the professional design services listed in the Scope of Services. Our fee <br />proposal is based upon work-effort projections and applicable billing rates for the scope of <br />work anticipated for this project. We propose a fixed fee of $172,325.00, summarized in the <br />following table.
