Revised 06/21 <br />3 <br />with the contractor the cost is not reduced to an amount within the total project <br />cost, the Provider is not obligated to engage in further redesign. <br /> <br />3. Basic Services <br /> <br />a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): (3) ambulances as provided in Attachment A, <br />which is hereby incorporated into this Agreement as if set forth herein. The Provider will <br />provide the chassis for this project. The Provider is responsible for ensuring the chassis <br />specifications and condition. <br />b. Warranty. In addition, the Provider warrants the following: See Attachment B, Ten-year <br />(100,000 Mile) Electrical Warranty; Attachment C, Seven-Year (Unlimited Mileage) <br />Paint Performance Warranty; Attachment D, Thirty-Six Month (36,000 Mile) <br />Conversion Warranty; Attachment E, Twenty-Five-Year (Unlimited Mileage) Structural <br />Warranty; and Attachment F, Warranty Quick Facts. All Warranties are attached and <br />hereby incorporated herein. <br /> <br />4. Duration of Services <br /> <br />a. Term. The term of this Agreement shall be from the latter date of (A) A RECEIPT OF <br />THE CHASSIS, OR (B) RECEIPT OF WRITTEN PURCHASE ORDER WITH A <br />COMPLETE COPY OF ATTACHMENT "A" AND THE SIGNED AND APPROVED <br />AUTOQUOTE VERSION 19.4 OR (C) RECEIPT OF ALL PARTS SUPPLIED BY <br />THE PROVIDER. Once Provider receives all documents and equipment, there will be a <br />maximum of 180-Days for completion of the ambulance by Provider. <br /> <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br /> <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br /> <br />iii) The Commencement Date for the Provider's Basic Services shall be determined <br />by the latest date of the events occurring as outlined under “Duration of Services, <br />Subsection A.” <br /> <br />5. Compensation <br /> <br />a. Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services satisfactorily (as <br />determined by the County) performed pursuant to this Agreement. The maximum <br />amount payable for Basic Services shall not exceed Two Hundred Ninety Seven <br />Thousand Six Hundred and Fourty 93/100 Dollars ($297,640.93). Payment for <br />satisfactorily performed Basic Services shall become due and payable within thirty (30) <br />days of Provider properly invoicing County.
