16 <br /> c. Records Retention and Access. The Subrecipient must maintain all records, books, <br /> papers and other documents related to its performance of the Scope of Services under <br /> this Agreement (including without limitation personnel, property, financial and <br /> medical records)for a period of five(5)years following the date that the County makes <br /> the last payment to Subrecipient under this Agreement, or such longer period as is <br /> necessary for the resolution of any litigation, claim, negotiation, audit or other inquiry <br /> involving this Agreement. The Subrecipient shall make all records, books,papers and <br /> other documents that relate to this Agreement available at all reasonable times for <br /> inspection,review and audit by the authorized representatives of the County,the North <br /> Carolina State Auditor, the Department of Treasury, the U.S. Government <br /> Accountability Office, the Office of the Inspector General, or the Pandemic Response <br /> Accountability Committee. <br /> 8. Termination. <br /> a. Termination for Convenience. The County may terminate this Agreement for its <br /> convenience upon thirty(30) days' written notice to the other party. <br /> b. Termination for Cause. In the event of any of the circumstances set forth below <br /> (hereinafter referred to as "default"), the County may immediately terminate this <br /> Agreement, in whole or in part, and from time to time. Notice of termination for cause <br /> must be in writing, state the reason or reasons for the termination, and specify the effective <br /> date of termination: <br /> i. In the event the Sub-recipient shall cease to exist as an organization or shall <br /> enter bankruptcy proceedings, be declared insolvent, or liquidate all or <br /> substantially all of its assets, or significantly reduce its services or accessibility <br /> to Orange County residents during the term of this Agreement; or <br /> ii. In the event Sub-recipient shall fail to render satisfactory documentation as <br /> provided in this Agreement,the County may terminate this Agreement and Sub- <br /> recipient shall return all ARPA funds already provided to it by County for <br /> services which have not been provided or for which no satisfactory <br /> documentation has been provided; or <br /> iii. In the event of any fraudulent representation by Sub-recipient in an invoice or <br /> other verification required to obtain payment under this Agreement or other <br /> dishonesty on a material matter relating to performance of services under this <br /> Agreement; or <br /> iv. Nonperformance, incomplete service or performance, or failure to perform <br /> satisfactorily any part of the work identified in the Scope of Services, or to <br /> comply with any provision of this Agreement, as determined by the County in <br /> its sole discretion; or <br /> v. Failure to adhere to the terms of applicable county, state, or federal laws, <br /> regulations, guidelines, or stated public policy. <br /> 15 <br />
