Spatialest Master Software and Services Agreement 21 <br /> <br />13 EXHIBIT C SUBSCRIPTION SERVICES <br /> <br />The terms set forth in this Exhibit C apply only to Sales Order(s) for Subscription Services. <br /> <br />1. Additional Definitions. <br />a. Content means text, images, documents, materials, and all other forms of data or <br />communication. <br />b. Customer Content means all Content made available by Customer or its Authorized Users <br />to Spatialest for use in connection with the Subscription Services or generated by <br />Customer via use of the Subscription Services. <br />c. Spatialest Content means all Content made available by Spatialest to Customer in <br />connection with Customer’s use of the Subscription Services. <br />2. Subscription Period. “Subscription Period” means the period in which Customer is authorized to <br />utilize the Subscription Services. The initial Subscription Period shall be listed on the applicable Sales Order <br />(the “Initial Subscription Period”). At the conclusion of the Initial Subscription Period or the applicable <br />Renewal Subscription Period, the license to the Subscription Services shall automatically renew for <br />successive twelve month Subscription Periods (each a “Renewal Subscription Period”, where the Initial <br />Subscription Period and any Renewal Subscription Period are collectively referred to herein as the <br />“Subscription Period”), unless either party provides the other with written notice of its intent not to renew <br />the Subscription Services at least 60 days prior to the end of the then-current Subscription Period. All <br />licenses granted with respect to the Subscription Services and any related Documentation shall <br />immediately expire on the last day of the Subscription Period. <br />3. License Grant. Subject to the terms and conditions of this Agreement, and in consideration for the <br />payment of fees for the Subscription Services set forth on the applicable Sales Order, Spatialest hereby <br />grants to Customer, solely during the Subscription Period for the Subscription Services, a non-exclusive, <br />non-transferable license to access and use the Subscription Services. This license is restricted to use by <br />Customer and its Authorized Users and does not include the right to use the Subscription Services on <br />behalf of any third party. Customer is responsible for procuring and maintaining the network connections <br />that connect the Customer to the Subscription Services. <br />4. Subscription Services Warranty.
