This Agreement, and the rights and obligations of each of County and Licensee <br />hereunder, shall be governed by and construed in accordance with the laws of the state of North Carolina, without giving <br />effect to conflicts of law principles, and shall be expressly subject and subordinate to the terms of that certain l ease <br />agreement between Orange County, as County, and its landlord, may be amended, regarding Studios.
