14 <br /> <br />b. Subrecipient Responsibilities. <br /> <br />i. Cooperation with County Oversight. The Subrecipient shall permit the County <br />to carry out monitoring and evaluation activities, including any performance <br />measurement system required by applicable law, regulation, funding sources <br />guidelines or by the terms and conditions of the applicable grant award, and the <br />Subrecipient agrees to ensure, to the greatest extent possible, the cooperation of <br />its agents, employees and board members in such monitoring and evaluation <br />efforts. This provision shall survive the expiration or termination of this <br />Agreement. <br /> <br />ii. Cooperation with Audits. The Subrecipient shall cooperate fully with any <br />reviews or audits of the activities under this Agreement by authorized <br />representatives of the County, the North Carolina State Auditor, the Department <br />of Treasury, and the U.S. Government Accountability Office. The Subrecipient <br />agrees to ensure to the extent possible the cooperation of its agents, employees, <br />and board members in any such reviews and audits. This provision shall survive <br />the expiration or termination of this Agreement for five years consistent with <br />Section 8(c). <br /> <br />c. Records Retention and Access. The Subrecipient must maintain all records, books, <br />papers and other documents related to its performance of the Scope of Services under <br />this Agreement (including without limitation personnel, property, financial and <br />medical records) for a period of five (5) years following the date that the County makes <br />the last payment to Subrecipient under the Contract Documents, or such longer period <br />as is necessary for the resolution of any litigation, claim, negotiation, audit or other <br />inquiry involving this Agreement. The Subrecipient shall make all records, books, <br />papers and other documents that relate to this Agreement available at all reasonable <br />times for inspection, review and audit by the authorized representatives of the County, <br />the North Carolina State Auditor, the Department of Treasury, the U.S. Government <br />Accountability Office, the Office of the Inspector General, or the Pandemic Response <br />Accountability Committee. <br /> <br /> <br />9. Insurance. Subrecipient shall obtain, at its sole expense, Commercial General Liability <br />Insurance, Automobile Insurance, Workers’ Compensation Insurance, and any additional <br />insurance as may be required by County’s Risk Manager as such insurance requirements are <br />described in the Orange County Risk Transfer Policy and Orange County Minimum Insurance <br />Coverage Requirements (each document is incorporated herein by reference and may be <br />viewed at http://www.orangecountync.gov/departments/purchasing_division/contracts.php). If <br />County’s Risk Manager determines additional insurance coverage is required such additional <br />insurance shall consist of (if no additional insurance required mark N/A as being not <br />applicable). Subrecipient shall not commence work until such insurance is in effect and <br />certification thereof has been received by the County's Risk Manager. <br /> <br />10. Indemnity.
