1 <br /> ORANGE COUNTY <br /> BOARD OF COMMISSIONERS <br /> ACTION AGENDA ITEM ABSTRACT <br /> Meeting Date: April 26, 2022 <br /> Action Agenda <br /> Item No. 8-j <br /> SUBJECT: Second Amendment to the Development Agreement for the Construction of a <br /> Shared Government Facility at 203 South Greensboro Street, Carrboro, NC <br /> DEPARTMENT: Asset Management Services <br /> ATTACHMENT(S): INFORMATION CONTACT: <br /> 1 — Executed Development Agreement Travis Myren, Deputy County Manager, <br /> (dated December 4, 2017) 919-245-2308 <br /> 2 — Executed First Amendment to the Steven Arndt, Asset Management <br /> Development Agreement (dated March Services Director, 919-245-2658 <br /> 10, 2020) <br /> 3 — Partner Cost Allocation Package <br /> 4 — Second Amendment to Development <br /> Agreement <br /> PURPOSE: To consider the approval of the Second Amendment to a Development Agreement <br /> by and between the Town of Carrboro, NC and Orange County, NC for the design and <br /> construction of a jointly used government facility at 203 Greensboro Street in the Town of <br /> Carrboro. <br /> BACKGROUND: In December 2017, Orange County and the Town of Carrboro signed a <br /> Development Agreement for the design and construction of a facility that would jointly contain <br /> administrative offices from the Town of Carrboro and the Orange County Southern Branch Library <br /> (Attachment 1). Due to subsequent changes in the occupant mix and associated space <br /> allocations within the facility, an amendment was created and approved in March 2020 to reflect <br /> these changes (Attachment 2). <br /> An Elements of Value table contained in the First Amendment to the Development Agreement <br /> provided a detailed cost estimate for the project and a ratio for allocating costs between the two <br /> parties. The ratio was derived from the assigned square feet (ASF) of space of each party <br /> compared to the total assigned square feet of the project. This ratio was designed to allocate <br /> costs for shared spaces and for Design and CMAR fees. The allocation ratios provided in the <br /> table are as follows: <br /> Government Entity Allocation Ratio <br /> Town of Carrboro 44% <br /> Orange Count 56% <br /> As a result of modifications and cuts to the project that occurred during the design process, the <br /> assigned square foot basis for the allocation ratios also changed.
