9 <br /> 19. Severability. If any part of this Agreement shall be determined to be unenforceable, then <br /> such determination shall not affect any other part of this Agreement, all of which other <br /> parts shall remain in full force and effect. <br /> 20. Survivorship. Where any provision contained in this Agreement evidences the intent of <br /> the parties that such provision should survive the distribution of the Grant funds and the <br /> expiration or termination of this Agreement, the provision shall survive those events (e.g. <br /> Section 14 Indemnification by Grantee). <br /> 21. Governing Law. This Agreement shall be construed and enforced in accordance with the <br /> laws of the State of North Carolina, without regard to its principles of conflicts of law. <br /> 22. Entire Agreement. This Agreement shall constitute the entire understanding between the <br /> parties, superseding any and all previous understandings,oral or written,pertaining to the <br /> subject matter contained herein.
