DocuSign Envelope ID:8E934AAF-CB04-4BC8-BE84-47915389317B <br /> STATE OF NORTH CAROLINA [Departmental Use Only] <br /> Title Graduate Resident Services <br /> COUNTY OF ORANGE FY 2021-2022 <br /> GRADUATE RESIDENT DENTAL SERVICES AGREEMENT <br /> THIS AGREEMENT, made and entered into this the I't day of July, 2021, by and between <br /> The University of North Carolina at Chapel Hill, for its Adams School of Dentistry, Division of <br /> Craniofacial and Surgical ('Provider" or "School"); and Orange County, a body politic and <br /> corporate of the State of North Carolina ("County") on behalf of the Orange County Health <br /> Department Dental Health Services ("OCHD"). <br /> WITNESSETH <br /> WHEREAS, OCHD desires the services of one General Practice resident at the <br /> postgraduate year one or two level from the School to provide ambulatory dental health services <br /> for the academic year 2021-2022; and <br /> WHEREAS, the Provider agrees to provide the services of one General Practice Resident <br /> ("GPR") at the postgraduate year one or two level on rotation to the Health Department; and <br /> WHEREAS, the County agrees to reimburse the Provider for the salary and fringe for one <br /> Full Time Equivalent("FTE")resident at the Health Department; <br /> NOW, THEREFORE, in consideration of the premises and of the following mutual <br /> promises, covenants, and conditions,the County and the Provider agree as follows: <br /> 1. Services <br /> a. Scope of Work. <br /> i) This Agreement is for services to be rendered by Provider to County with respect <br /> to services of one resident at the postgraduate year one or two level in the Dental <br /> Health Services Division to provide ambulatory dental health services for the <br /> academic year 2021-2022 (the"Project"). <br /> ii) By executing this Agreement, the Provider represents and agrees that Provider is <br /> qualified to perform and fully capable of performing and providing the services <br /> required or necessary under this Agreement in a fully competent, professional and <br /> timely manner. <br /> iii) Time is of the essence with respect to this Agreement. <br /> iv) The services to be performed under this Agreement consist of Basic Services, as <br /> described and designated in Section 3 hereof.
