Any party may specify a different address by notifying the Association in writing of <br /> such different address. All notices and other communications required or permitted under this <br /> Agreement shall be deemed to have been received on the day when personally delivered, <br /> telecopied, or three days after being mailed, as the case may be. <br /> 11. MISCELLANEOUS <br /> A. This Agreement shall be governed by the laws of the State of Illinois, and all <br /> questions pertaining to the validity or construction of this Agreement shall be <br /> determined in accordance with the internal laws of the State of Illinois without <br /> regard to conflict of laws principles. <br /> B. There are no oral understandings between the parties to this Agreement. No <br /> modification or waiver of any provision of this Agreement shall be valid unless in <br /> writing and signed by duly authorized officers of the parties hereto. <br /> C. This Agreement may not be assigned by the Library to any other person, firm or <br /> corporation without the express written consent of the Association. This <br /> Agreement may not be assigned by Association to any other person, firm or <br /> corporation without the express written consent of the Library and Association <br /> provided however that Association may freely engage subcontractors to perform <br /> its obligations under this Agreement. <br /> D. The Association and the Library agree to use their best efforts and cooperate in <br /> the performance of this Agreement so that its purposes may be successfully <br /> carried out, and to engage in good-faith discussions in the event either party is <br /> dissatisfied with the performance, conduct or actions of the other. <br /> 12.
