I <br /> Attachment 1 <br /> NORTH CAROLINA <br /> CONTRACT AMENDMENT <br /> ORANGE COUNTY <br /> THIS CONTRACT AMENDMENT ("Amendment") is made and entered into this _ 17_ day of <br /> February...., 2022 by and between ORANGE COUNTY (hereinafter referred to as " County") and <br /> Superion , LLC, a CentralSquare Techologies company, as successor in interest to SunGard Public Sector, Inc. <br /> (hereinafter referred to as " Provider") . <br /> WITNESSETH : <br /> THAT WHEREAS , the County and Provider entered into a contract dated October 4, 2012 (hereinafter the " Original <br /> Agreement") , for the provision of services for XML data extraction from Orange County Emergency Services CAD and <br /> WHEREAS , the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br /> conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br /> amend the Original Agreement as follows : <br /> 1 . Exhibit 1 to the Original Agreement is amended by adding the following tasks and services to the Services to <br /> be provided by the Provider : See attached schedule of services . <br /> 2 . Exhibit 1 is amended to reflect a maximum payable notAo-exceed amount for this project of $ 9 , 450 . 00 . <br /> 3 . Payment Term . License fees will be due within 30 days of contract execution. Service fees shall be due <br /> within 30 days of completion of contracted tasks . Maintenance fees will be due one year from contract <br /> execution . <br /> 4 . Non-Discrimination . CentralSquare shall at all times remain in compliance with all applicable local, state, <br /> and federal laws , rules , and regulations , including but not limited to all state and federal non -discrimination <br /> laws , policies , rules , and regulations and the Orange County Non-Discrimination Policy and Orange County <br /> Living Wage Policy (each policy is incorporated herein by reference and may be viewed at <br /> http : // vw . orangecount ny gov/departments/purchasing division/contracts . ph . ) Any violation of the <br /> Orange County Non-Discrimination Policy is a breach of this Agreement, and the County may immediately <br /> terminate this Agreement without further obligation on the part of the County . This paragraph is not <br /> intended to limit and does not restrict the definition of a breach to discrimination . <br /> 5 . Signatures . This Agreement, together with any amendments or modifications , may be executed <br /> electronically . All electronic signatures affixed hereto evidence the intent of the Parties to comply with <br /> Article I IA and Article 40 of North Carolina General Statute Chapter 66 . <br /> 6 . Except for the changes made herein, the Original Agreement shall remain in full force and effect to the extent <br /> it is not inconsistent with this Amendment .
