1 <br /> ORANGE COUNTY <br /> BOARD OF COMMISSIONERS <br /> ACTION AGENDA ITEM ABSTRACT <br /> Meeting Date: October 19, 2021 <br /> Action Agenda <br /> Item No. 8-h <br /> SUBJECT: Approval of the Management Services Agreement for the Piedmont Food <br /> Processing Center <br /> DEPARTMENT: County Manager (Food <br /> Council) <br /> ATTACHMENT(S): INFORMATION CONTACT: <br /> PFPC Management Services Agreement Ashley Heger, 919-245-2146 <br /> PURPOSE: To approve a management services agreement between Piedmont Food Processing <br /> Center(PFPC)which establishes a legal agreement under which the County can continue working <br /> with and supporting PFPC to provide shared kitchen incubator services. <br /> BACKGROUND: In 2011, Orange County was one of four county government partners that <br /> helped to establish the Piedmont Food and Agriculture Processing Center. The Center has <br /> changed names, staff and leadership, and scope of services in the past 10 years. Piedmont Food <br /> Processing Center (PFPC) currently operates shared kitchen spaces and provides food business <br /> incubator services inside an Orange County facility. The proposed management services <br /> agreement defines responsibilities for building usage and maintenance, financial reporting, and <br /> all other relevant needs related to the County's building and the services provided by PFPC. The <br /> agreement term is five (5) years with the possibility of extending or discontinuing the agreement <br /> if any conditions are breached. <br /> FINANCIAL IMPACT: The County is responsible for building and property maintenance as well <br /> as capital equipment as defined in the agreement. The County's Asset Management Services <br /> Department will manage all relevant building and equipment needs using the same processes for <br /> all other County assets. Other financial impacts are defined in the agreement and includes the <br /> following language: "PFPC shall receive no monetary compensation for services provided <br /> pursuant to this Agreement. Full compensation and consideration to PFPC for its services shall <br /> consist of PFPC's access to and use of the Facility and Capital Equipment." (From Page 6, Section <br /> 2.5, Compensation and Revenues) <br /> SOCIAL JUSTICE IMPACT: There is no Orange County Social Justice Goal impact associated <br /> with this item. <br />
