DocuSign Envelope ID: B21BAF31-AE89-4B8D-B10E-7FC1F348643C <br /> NORTH CAROLINA <br /> CONTRACT AMENDMENT#2 <br /> ORANGE COUNTY <br /> THIS SECOND CONTRACT AMENDMENT ("Amendment") is made and entered into this 1st day of October, 2021 <br /> by and between ORANGE COUNTY (hereinafter referred to as "County") and Renaissance Planning Group, Inc., <br /> (hereinafter referred to as"Consultant"). <br /> WITNESSETH: <br /> THAT WHEREAS, the County and Consultant entered into a contract dated March 24, 2020, (hereinafter the "Original <br /> Agreement'), for the provision of services for updating the 2017 Orange County Transit Plan with an internal designation <br /> of 2020-214-E; and <br /> WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and <br /> conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br /> amend the Original Agreement as follows: <br /> 1. Section 3.1.1 in the Original Agreement shall be replaced in its entirety with the following: <br /> 3.1.1 The Consultant shall perform as Basic Services the work and services described herein and as <br /> specified in the County's Request for Qualifications RFQ Number 5278 for transit consulting <br /> services (the"RFQ")issued January 6th,2020,which is fully incorporated and integrated herein by <br /> reference together with Attachments A3 "Second Updated to Task List and Milestone Dates",B3 <br /> "Second Update to Pay Schedule," C "Additional Services and Deliverable Schedule",and D <br /> "Proposed Modifications to Scope of Work". <br /> 2. Attachments A2 "First Update to Task List and Milestone Dates"and 132"First Update to Pay Schedule" <br /> (having replaced Attachments A"Task List and Milestone Dates"and B "Pay Schedule"in Contract <br /> Amendment#1) shall be replaced in their entirety with Attachments A3 "Second Update to Task List and <br /> Milestone Dates"and 133 "Second Update to Pay Schedule". <br /> 3. The compensation for the additional work included in this Amendment shall be sixty-three thousand four <br /> hundred and thirty-six dollars ($63,436.00). Article 5 of the Original Agreement is amended to reflect a <br /> maximum payable not-to-exceed amount of three hundred fifty-nine thousand and sixty dollars <br /> ($359,060.00). <br /> 4. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent <br /> it is not inconsistent with this Amendment.
