Revised 07/20 <br />3 <br />3. Basic Services <br /> <br />a. Basic Services. The Services to be rendered pursuant to this Agreement are as follows <br />(fully describe services to be provided): Purpose: Dude Solutions' ("DSI") facility <br />condition assessment ("FCA") is a visual assessment evaluating the facility systems <br />based on the following Standard Scope of Work ("SOW"). This FCA service w ill <br />collect data on major facility assets, as well as provide narratives that summarize <br />assessment observations and comments. An inventory of Equipment Items as well as a <br />forecast model of upcoming System/Sub-System replacements will be imported into <br />DSI's work & asset management, capital forecasting and capital prediction software <br />solutions as set forth on the applicable Order Form, Value: By partnering with DSI you <br />not only gain the engineering expertise of DSI's Service Providers; you also are provided <br />with assurance that the data collected as a result of the facility condition assessment is <br />properly integrated into your DSI software applications. DSI has successfully completed <br />more than 800 projects ranging from Facility Condition Assessments, Asset Inventory <br />Collection (including barcoding) and preventive maintenance schedule creation. Our <br />methodology provides you with confidence to make better data, decision-making on <br />both short-term and long-term capital investment needs of your organization. <br />Deliverables: All FCA's will include a deliverable containing the following items: • <br /> Narrative report with descriptions of major systems and corresponding <br />conditions • Primary digital photos of key components and deficiencies are included in <br />the narrative • 20-year capital Reserve table with System/Sub-System replacement costs <br />and dates • Import of Systems-level detail into client's DSI capital <br />forecasting/prediction solution • Import major Equipment Items into client's DSI <br />work & asset management solution per proposal q-223715 dated May 4, 2021, <br />Attachment A - Orange County Order Form, attachment B -EDU-GOV Standard FCA <br />SOW, and Addenum to Services Agreement No. <br /> <br />4. Duration of Services <br /> <br />a. Term. The term of this Agreement shall be from August 31, 2021 to June 30, 2022. <br /> <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br /> <br />ii) Should the County determine that the Provider is behind schedule, it may require <br />the Provider to expedite and accelerate its efforts, including providing additional <br />resources and working overtime, as necessary, to perform its services in <br />accordance with the approved project schedule at no additional cost to the <br />County. <br /> <br />iii) The Commencement Date for the Provider's Basic Services shall be August 31, <br />2021. <br /> <br />5. Compensation <br /> <br />a. Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services satisfactorily (as <br />determined by the County) performed pursuant to this Agreement.
