<br />A-0000000464 <br />CONFIDENTIAL 17 Rev . 03/31/2020 <br />precedence shall be (1) the applicable Order Form, (2) any schedule or addendum to this Agreement, and (3) the content <br />of this Agreement. <br />9.12 Export Compliance. The Service, Professional Service, Content or other technology DSI may make <br />available, and derivatives thereof may be subject to export laws and regulations of the United States and other <br />jurisdictions. Each party represents that it is not named on any U.S. government denied-party list. Subscriber shall not <br />permit any Account User to access or use any Service, Content or other DSI technology in a U.S.-embargoed country or <br />region or in violation of any U.S. export law or regulation. <br />9.13 Anti-Corruption. Neither party has received or been offered any illegal or improper bribe, kickback, <br />payment, gift, or thing of value from an employee or agent of the other party in connect with this Agreement. Reasonable <br />gifts and entertainment provided in the ordinary course of business do not violate the above restriction. If Subscriber <br />learns of any violation of the above restriction, Subscriber shall immediately notify DSI. <br />9.14 Cooperative Use. With Subscriber’s approval, the market research conducted by Subscriber during its <br />selection process for the Services may be extended for use by other jurisdictions, municipalities, and government agencies <br />of Subscriber’s state. Any such usage by other entities must be in accordance with ordinance, charter, and/or <br />procurement rules and regulations of the respective political entity. <br />9.15 Modifications. DSI may revise the terms of this Agreement from time-to-time and shall post the most <br />current version of this Agreement on its website.
