CE Rental Agreement Terms and Conditions <br /> <br />17. Customer Will Call: Client assumes all responsibility for loading and unloading of Rental Items in any customer <br />provided vehicle and shall hold CE Rental harmless for any property damage or personal injury from CE Rental <br />assistance under the direction of the customer. Client is responsible for transporting all Rental Items in a covered vehicle <br />with proper straps, ropes, ratchets, etc to secure Rental Items. <br />18. Moving non-rental items by CE Rental: CE Rental is not liable for any damage arising from customer-requested <br />moving of non-rental items, including, but not limited to, furniture, vehicles, plants, lights, decorative items, etc. or for <br />Rental Items placed in risk prone areas not previously identified and agreed to. <br />19. Point of use provisions and lawful compliance: Customer shall be responsible for sufficient electrical requirements <br />of rental equipment or fire safety & permits of open flame equipment. Customer agrees at their sole cost to comply with all <br />municipal, county, state and federal laws, ordinances and regulations which may apply to the use of the rental items for <br />the rental period. Customer is responsible for all needed licenses and permits. <br />20. Assumption of risk: Customer assumes the risk of use of all Rental Items and holds CE Rental harmless for property <br />damage and personal injuries associated with the Rental Items. To the extent permitted by North Carolina law, including <br />the North Carolina Tort Claims Act, Customer shall indemnify and hold CE Rental harmless from third party claims of loss, <br />injury or damage to their persons or property arising from the customer’s possession or use including legal cost if defense <br />of such claims. <br />21. Repossession & recovery of rental items: Upon failure to return rental items and/or breach of the terms and <br />conditions of the rental agreement, CE Rental shall have the right to terminate the rental agreement and recover rental <br />items from wherever they are without further notice or legal process. CE Rental and its agents shall not be liable for <br />claims for damage or trespass arising from the removal of the agreement’s rental items. <br />22. Disclaimer of manufacturer: The customer understands and agrees that CE Rental is neither the manufacturer nor <br />agent of the manufacturer. <br />23. Force Majeure: CE Rental’s performance under this Agreement will be excused or may be delayed or modified without <br />liability in the event of severe weather conditions, strikes, labor disputes, riots, accidents, natural disasters and other Acts of <br />God, and governmental mandates beyond CE Rental's control. In such event, CE Rental will promptly notify Client of such <br />conditions. At Client's request, CE Rental will use reasonable efforts to provide substitute Rental Items and Services subject to <br />each party's written approval of the substitute Rental Items and Services and Rental Prices and Fees. <br />24. Governing Law and North Carolina Certifications: Both parties agree this Agreement is governed by the laws of <br />the State of North Carolina and Orange County. Provider shall at all times remain in compliance with all applicable local, <br />state, and federal laws, rules, and regulations including but not limited to all state and federal anti-discrimination laws, <br />policies, rules, and regulations and the Orange County Non-Discrimination Policy and Orange County Living Wage Policy <br />(each policy is incorporated herein by reference and may be viewed at <br />http://www.orangecountync.gov/departments/purchasing_division/contracts.php.). Any violation of this requirement is a <br />breach of this Agreement and County may immediately terminate this Agreement without further obligation on the part of <br />the County. This paragraph is not intended to limit and does not limit the definition of breach to discrimination. By <br />executing this Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any <br />agent or subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.58. By executing this <br />Agreement Provider certifies that Provider has not been identified, and has not utilized the services of any agent or <br />subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147-86.81.
