2 <br /> <br /> <br />surface parking lot owned by the University, located at 1701 Estes Drive, Chapel Hill, Orange <br />County, North Carolina (called, “UNC Lot”), and further described in Attachment A; <br /> <br />WHEREAS, the Parties acknowledge that the arrangement contemplated by this <br />Agreement is an emergency measure in response to the Pandemic; <br />WHEREAS, the Parties acknowledge that they may enter into one or more amendments <br />or addenda to address specific issues regarding the subject matter of this Agreement; and <br />WHEREAS, the Parties agree to enter into this Agreement and to be bound by the terms <br />and conditions set forth herein. <br />NOW THEREFORE, for and in consideration of the premises and covenants contained <br />herein, and for other good and valuable consideration, the receipt and adequacy of which are <br />hereby acknowledged. <br /> <br />1. Term. <br /> <br />This Agreement shall commence on December 28, 2020 (“Effective Date”) and continue <br />until June 30, 2021, unless terminated earlier as provided herein (“Term”). <br /> <br />2. Responsibilities of the University. <br /> <br />a. The University will make available to County UNC Lot, located at 1701 Estes <br />Drive, Chapel Hill, Orange County, North Carolina to advance the County’s <br />point-of-dispensing plans for community vaccinations. <br /> <br />b. Access and use of the entire lot during the Term (site design pending). <br /> <br />c. Site access beginning December 28 for logistic set-up and tentative activation <br />plans for activation the following week. <br /> <br />d. Access to the site 2-3 time per week for 8-12 hours per/day. <br /> <br />e. During the Term of this Agreement, the University is relieved of its obligation to <br />maintain and clean the UNC Lot. The University’s vendor will continue to clear <br />the UNC Lot of snow and ice during this period of use and the County will <br />reimburse the University cost of the vendor’s services for clearing the UNC Lot. <br /> <br />f. The University may provide upon request from County Emergency Services, if <br />available logistical support for resource requests to include (but not limited to) <br />cones, traffic barriers, and electricity. <br /> <br />g.
