<br /> <br /> <br />FREEZER USE AGREEMENT <br /> <br />THIS FREEZER USE AGREEMENT (“Agreement”) is entered into by and among THE UNIVERSITY <br />OF NORTH CAROLINA AT CHAPEL HILL for Finance and Operations, Facilities Services Division, a North <br />Carolina public university (“University”) and Orange County, North Carolina, a local political subdivision <br />of the State of North Carolina, for and on behalf of the State of North Carolina for its Health Department <br />(“Lessee”). Each party may be referred to in this Agreement singularly as a “Party” and collectively as the <br />“Parties.” <br /> <br />WHEREAS, on March 11, 2020, the World Health Organization declared the novel coronavirus <br />disease, COVID-19, a global pandemic, and on March 13, 2020, the United States declared a national <br />emergency concerning COVID-19 (such events, the “Pandemic”); and <br /> <br />WHEREAS, due to the Pandemic, and emergency declarations related thereto from local, state, <br />and federal governments, and international bodies, and in light of Lessee’s need to store COVID-19 <br />vaccines, the University is willing to make available two (2) of its -80° freezers (collectively, “Freezers”) <br />to Lessee, as further described herein, so that Lessee may store and administer such vaccines during the <br />Pandemic; <br /> <br />WHEREAS, the Parties acknowledge that the arrangement contemplated by this Agreement is <br />an emergency measure in response to the Pandemic; <br /> <br />WHEREAS, the Parties acknowledge that they may enter into one or more amendments or <br />addenda to address specific issues regarding the subject matter of this Agreement; and <br /> <br />WHEREAS, the Parties agree to enter into this Agreement and to be bound by the terms and <br />conditions set forth herein. <br /> <br /> NOW THEREFORE, for and in consideration of the premises and covenants contained herein, <br />and for other good and valuable consideration, the receipt and adequacy of which are hereby <br />acknowledged, the Parties agree as follows: <br /> <br />1. TERM <br /> <br />This Agreement shall commence on December 18, 2020 (“Effective Date”) and continue for six <br />(6) months thereafter unless terminated earlier as provided herein (“Term”). <br /> <br />2. UNIVERSITY COMMITMENTS <br /> <br />To the extent the University has the personnel and resources available, the University will make <br />the Freezers available to Lessee. One Freezer will be located in the University’s Environment, Health, <br />and Safety Building (University Asset Number 051632), located at 1120 Estes Drive Extension, Chapel <br />Hill, North Carolina 27599-1650 and is accessible by Lessee 24 hours per day, 7 days per week, as long as <br />Lessee’s access does not interfere with the University’s operations and other duties and obligations . The <br />second Freezer to be made available to Lessee (University Asset Number 018732) will be delivered to <br />the Orange County Emergency Management Operations Center, located at 510 Meadowlands Drive, <br />Hillsborough, North Carolina 27278. During the Term of this Agreement, the University is relieved of its <br />obligation to maintain and clean the Freezers.
