Cubic/Delerrok <br />Orange County Public Transportation –Electronic Fare Collection Solution <br /> <br />Cubic/Delerrok Confidential Information 3 <br />are regulated by North Carolina’s Commissioner of Banks, include a long list of <br />requirements for the licensee including, as just a few examples, $1,500 <br />application fee, credit reports for all control persons, FBI criminal background <br />checks, applicants must have a net worth of $250,000 or more, provide a <br />surety bond ranging from $150,000 to $250,000 depending on annual volume. <br />In addition to these unnecessary costs, should the contractor serve as a money <br />transmitter, OCPT would also face the risk of their fare programs being <br />temporarily or permanently suspended in the event that the Commissioner of <br />Banks elected not to approve or renew the contractor’s Money Transmitter <br />license at any time in the future. <br />1.2. Validator Annual Lease, Maintenance, Support <br />Onboard validator (“TouchPass Reader” or “Reader”) compliant with the <br />TouchPass Reader Specification attached to our technical proposal. <br />Price shown is for 19 units, 16 for installation on Agency’s fixed route vehicles <br />plus 3 spares. <br />Agency will use loaned TouchPass Readers as an alternative to purchasing <br />them. Selection of this option must apply to all Readers (including spares) for <br />an Agency. The Agency shall pay the above annual fee per Reader for the Term <br />of the Agreement (a period of no less than 4 years) and return the Readers at <br />the end of the Term. <br />This fee is assessed monthly. On the Launch Date, Agency shall pay Delerrok <br />$50.00 per Reader (including spares) per month for the remainder of the <br />Term. <br />Readers will be subject to repair and/or replacement in the event of failure or <br />defect per the RRA Process described in the “Reader Warranty” section below. <br />In the event of termination or expiration of the Agreement prior to the end of <br />Term, the full amount for the Readers that is unpaid for the remainder of a 4- <br />year period will become due and payable. <br />Additional Readers may be purchased at the same price during the Term of the <br />Agreement but are subject to a minimum quantity of five (5) and a lead time of <br />90 days. <br />See Reader Warranty section below. <br />DocuSign Envelope ID: 000FC59A-58C3-40A5-B7DA-3677E8179B51
