The County understands and agrees that the Trustee cannot determine the <br /> identity of the actual sender of Instructions and that the Trustee may conclusively <br /> presume that Instructions that purport to have been sent by a County <br /> Representative have in fact been sent by that County Representative. The County is <br /> responsible for ensuring that only County Representatives transmit Instructions <br /> to the Trustee, and the County is solely responsible to safeguard the use and <br /> confidentiality of applicable user and authorization codes, passwords and <br /> authentication keys. The Trustee is not liable for any losses, costs or expenses <br /> arising directly or indirectly from the Trustee's reliance upon and compliance with <br /> Instructions that purport to have been sent by a County Representative, <br /> notwithstanding that an Instruction may conflict with or be inconsistent with <br /> another Instruction received after the Trustee's action. <br /> The County agrees: (a) to assume all risks arising out of the use of Electronic <br /> Means to submit Instructions to the Trustee, including without limitation the risk <br /> of the Trustee's acting on unauthorized Instructions that purport to be sent by an <br /> County Representative, and the risk of interception and misuse by third parties; <br /> (b) that it is fully informed of the protections and risks associated with the various <br /> methods of transmitting Instructions to the Trustee and that there may be more <br /> secure methods of transmitting Instructions than the method(s) selected by the <br /> County; (c) that the security procedures (if any) to be followed in connection with <br /> its transmission of Instructions provide to it a commercially reasonable degree of <br /> protection in light of its particular needs and circumstances; and (d) to notify the <br /> Trustee immediately upon learning of any compromise or unauthorized use of <br /> the security procedures. <br /> In this Agreement, "Electronic Means" means electronic mail, facsimile <br /> transmission or similar methods. Voice communication and delivery of signed paper <br /> documents are not "Electronic Means." <br /> Section 9.03. Trustee's Individual Rights. The Trustee in its individual or <br /> any other capacity may become the Owner or pledgee of Bonds and may otherwise <br /> deal with the County or its affiliates with the same rights it would have if it were not <br /> Trustee. <br /> Section 9.04. Disclaimer. The Trustee makes no representation as to the <br /> validity or adequacy of this Agreement or the Bonds, and the Trustee is not <br /> accountable for the County's use of the proceeds of the Bonds. <br /> 37 <br />
