8 <br />all prior oral and written and all contemporaneous oral negotiations, commitments and <br />understandings between such parties. This Agreement may not be amended or modified without <br />a written instrument executed by the parties hereto. <br />(d) No Agency. The parties acknowledge that, as to each other, they are independent <br />contractors, and no agency, partnership, joint venture, employee-employer, or franchisee- <br />franchisor relationship is intended or created by this Agreement. <br />(e) Governing Law. This Agreement shall be governed by and construed in accordance with <br />the laws of the State of North Carolina, without regard to conflicts of law principles. The parties <br />hereto agree to be subject to the exclusive jurisdiction, and venue shall reside, in the state and <br />federal courts located in Orange County, North Carolina for the purpose of adjudicating any <br />dispute relating to or arising out of this Agreement. The prevailing party arising out of any dispute <br />concerning the terms of this Agreement shall be entitled to recover its attorney’s fees incurred in <br />such dispute. <br />(f) Section Headings. The section headings are for the convenience of the parties and in no <br />way alter, modify, amend, limit, or restrict the contractual obligations of the parties. <br />(g) Severability. The invalidity or unenforceability of any provision of this Agreement shall <br />not affect the validity or enforceability of any other provision of this Agreement. <br />(h) Rights Cumulative; No Waiver. No right or remedy herein conferred upon or reserved to <br />either of the parties hereto is intended to be exclusive of any other right or remedy, and each and <br />every right and remedy shall be cumulative and in addition to any other right or remedy given <br />hereunder, or now or hereafter legally existing. The failure of either party hereto to insist any time <br />upon the strict observance or performance of any provisions of this Agreement or to exercise any <br />right or remedy as provided in this Agreement, shall not impair any such right or be construed as <br />a waiver or relinquishment thereof. Every right and remedy given by this Agreement to the parties <br />hereof may be exercised from time to time as often as may be deemed expedient by the parties <br />hereto, as the case may be. <br />(i) Inconsistencies. Except as otherwise stated, in the event of any inconsistency between this <br />Agreement and any exhibit, schedule or addenda attached hereto, the terms and conditions of this <br />Agreement shall control. <br />(j) Trademarks; Copyrights. GoSection8.com® is a registered trademark of Affordable <br />Housing Network, LLC. Other names appearing on the Site may be trademarks of <br />GoSection8.com or a third party. This Agreement may be executed in one or more counterparts, each of which <br />shall be deemed to be an original but all of which, when taken together, shall be one and the same <br />document.
