<br /> <br /> 2 <br />has breached (or is breaching) its warranties or agreements hereunder. If County delivers <br />waste in breach of any warranty or agreement herein, Contractor may either remove and <br />dispose of that waste and charge County for the cost or require County to promptly remove <br />the waste. In any such event, Contractor shall promptly notify County of such breach prior to <br />incurring additional costs for the removal and disposal of such nonconforming waste. <br /> <br />6. Limited License to Enter. During the term of this Agreement, County shall have a license to <br />enter the Facility specified herein for the limited purpose of, and only to the extent necessary <br />for, off-loading waste at the location and in the manner directed by Contractor. Except in an <br />emergency, or at the express direction of Contractor, County's personnel shall not leave the <br />immediate vicinity of their vehicle. After off-loading the waste, County's personnel shall <br />promptly leave the Facility. Under no circumstances shall County or its personnel engage in <br />any scavenging of waste at the Facility. Contractor may refuse to accept waste from, and shall <br />deny an entrance license to, any of County's personnel whom Contractor believes is under the <br />influence of alcohol or other chemical substances. <br /> <br />7. Charges and Payment. The rates specified in Section 4 shall not change during the initial <br />term of this Agreement unless taxes, fees or other charges are imposed upon the disposal of <br />County's waste or Contractor’s operations at the Transfer Station or the ultimate landfill <br />where the waste is disposed by Federal, state or local laws and regulations. In such event, <br />County shall pay such costs as a pass through add-on to the rates. Payment shall be made by <br />County within thirty (30) days of County’s receipt of the invoice from Contractor. In the <br />event that any payment is not made when due, Contractor may (a) suspend or terminate its <br />acceptance of County Waste Material and/or (b) charge a late fee for all past-due payments, <br />not to exceed the maximum rate allowed by applicable law <br /> <br /> <br />DocuSign Envelope ID: B04ECF89-C776-496E-B171-26200EC380B9
