Revised 07/20 <br />NORTH CAROLINA <br />CONTRACT AMENDMENT <br />ORANGE COUNTY <br /> <br /> <br />THIS CONTRACT AMENDMENT (“Amendment”) is made and entered into this 1st day of July, 2021 by and between <br />ORANGE COUNTY, a political subdivision of the State of North Carolina (hereinafter referred to as “County”), and <br />WASTE INDUSTRIES, LLC, a North Carolina Limited Liability Company, dba GFL Environmental, having its <br />principal place of business in Raleigh, North Carolina (hereinafter referred to as “Provider”). <br /> <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated February 18, 2014 and amended on July 1, <br />2019, (hereinafter the “Agreement”), for the provision of Urban Curbside Recycling Collection; and <br /> <br />WHEREAS, the Term of the Agreement currently extends through June 30, 2024; and <br /> <br />WHEREAS, the County and Provider desire to amend the Agreement while keeping in effect all terms and conditions of <br />the Agreement not inconsistent with the terms and conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br />amend the Agreement as follows: <br /> <br /> <br />1. Paragraph 5.a. of the Agreement is amended to read as follows: Compensation for Services for the period of <br />July 1, 2021 through the end of the Term, the maximum amount payable for Services shall not exceed Two <br />Million Five Hundred Thousand Dollars ($2,500,000.00). Effective July 1, 2021, County shall hereby <br />compensate Provider for collection services at a rate of $3.50 per unit per month. The per unit rate shall be <br />increased by two percent (2%) on each of July 1, 2022 and July 1, 2023. Provider shall invoice the County on <br />a monthly basis based on the actual number of units, which at the time of execution of this amendment is <br />estimated to be 19,092. <br /> <br />2. Except for the changes made herein, the Agreement shall remain in full force and effect to the extent it is not <br />inconsistent with this Amendment. In the event there is a conflict between the terms of the Agreement and <br />the terms of this Amendment, this Amendment shall control.
