Contractor shall at all times remain in compliance with all applicable local, state, and federal <br /> laws,rules, and regulations including but not limited to all state and federal nondiscrimination <br /> laws, policies, rules, and regulations and the Orange County Non-Discrimination Policy and <br /> Orange County Living Wage Policy(each policy is incorporated <br /> herein by reference and may be viewed at <br /> http://www.oranaecountync.aov/departments/purchasing division/contracts.php). Any <br /> violation of the Orange County Non-Discrimination Policy is a breach of this Agreement and <br /> County may immediately terminate this Agreement without further obligation on the part of <br /> the County. This paragraph is not intended to limit and does not limit the definition of breach <br /> to discrimination. <br /> k. This Agreement together with any amendments or modifications may be executed <br /> electronically. All electronic signatures affixed hereto evidence the consent of the Parties to <br /> utilize electronic signatures and intent of the Parties to comply with Article I IA and Article <br /> 40 of North Carolina General Statute Chapter 66. <br /> 1. Contractor does not assume any liability or responsibility for damage to its work or materials <br /> caused by the Owner or anyone for whom the Owner is responsible. <br /> m. Contractor agrees to abide by Owner's Safety Policy as long as said policy is not in conflict <br /> with Contractor's own Safety Policy. Contractor agrees to accept liability for the cost of <br /> penalties incurred by Owner pursuant to governing Occupational Health and Safety acts that <br /> result from Contractor's acts or omissions. Contractor does not assume any liability or <br /> responsibility for damage to its work or materials caused by the Owner. <br /> n. Owner will provide suitable, secure storage areas, adjacent to the elevator shafts, for <br /> Contractor's material and equipment during the course of the work. <br /> o. Parties understand that the work is to be performed for a fixed price at the amount indicated <br /> in the Agreement. This amount shall only be adjusted by properly approved change orders <br /> or written directives indicating related modifications to the scope of work and/or to the <br /> terms and conditions. Any and all proposed change orders or written directives must be sent <br /> to Contractor for approval prior to handover of the equipment. <br /> p. Contractor's acceptance is conditioned on the understanding that Contractor's warranty only <br /> covers defective material and workmanship, that the guarantee period shall not extend longer <br /> than ninety(90) days from the date of completion of each elevator, (or the work); and that it <br /> excludes ordinary wear and tear or improper use, vandalism, abuse, misuse or neglect by <br /> others. THIS EXPRESS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL <br /> WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF <br /> MECHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. <br /> q. Contractor agrees to pay for the cost of one inspection after completion of the Work.
