Payment shall be <br /> subject to provisions of Section 5(c). <br /> b. Fee Schedule. Provider will charge County for the services provided pursuant to the <br /> Agreement based on the amount of time (including travel) they devote to the matter at <br /> the hourly rates for the particular professionals involved as are set forth in Schedule A. <br /> These rates were previously agreed to for work under your insurance policy with <br /> Beazley. Provider bill for services in minimum units of 6 minutes, or .1 hour. Provider <br /> reserves the right to reasonable annual rate increases, subject to County's consent, which <br /> shall not be unreasonably withheld. Provider reserves the right to staff the handling of <br /> the matter with the partners, associates, paralegals and/or other personnel of their choice, <br /> at the rate it establishes for each such timekeeper, although they will discuss the staffing <br /> of the matter with the County at any time and consider County's input in the staffing of <br /> the matter. <br /> c. Disputes. In the event the amount stated on an invoice is disputed by the County, the <br /> County may withhold payment of the disputed amount stated on an invoice until the <br /> parties resolve the dispute. Should Provider fail to perform its duties under the terms of <br /> this Agreement, County may, without fault or penalty, withhold any payment associated <br /> with the work to be performed until such time as said work is completed. <br /> d. Additional Services. County shall not be responsible for costs related to any services in <br /> addition to the Basic Services performed by Provider unless County requests such <br /> additional services in writing and such additional services are evidenced by a written <br /> amendment to this Agreement. <br /> i) Costs And Expenses: Schedule A. Provider will incur on County's behalf various <br /> costs and expenses in performing legal services under the Agreement. County <br /> agrees to pay for those costs and expenses in addition to the hourly fees. Schedule <br /> A, attached, includes a non-exhaustive list of costs we may incur on County behalf. <br /> ii) Outside Consultants/Other Vendors. In addition to the costs of the type set forth <br /> in Schedule A, it may become necessary to hire persons or entities outside <br /> Provider, including but not limited to consultants, forensics and other experts, <br /> investigators, or other professional service providers. Provider will select any <br /> consultants or investigators to be hired after notice to and consultation with <br /> County, and County agrees to honor the terms and conditions of any agreement <br /> with any such outside person or entity that we enter into on County's behalf and <br /> with County's consent. <br /> iii) Reimbursement Or Direct Pay. Provider reserves the right in their sole discretion <br /> to either pay directly any of the costs incurred such as those set forth in Schedule <br /> A, and/or for outside consultants or other vendors, or to ask County to pay any <br /> such expense directly. If we exercise our right to require County to pay an outside <br /> vendor invoice directly, and County fails to do so, County agrees to defend and <br /> indemnify the Provider with respect to any claims, demands or suit brought <br /> against the County as a result of County failure to pay such invoice. Payment <br /> directly by the County of any such expense shall not be construed as a waiver of <br /> our right to require County in the future to pay any similar expense directly. <br /> Revised 07/20 <br /> 4 <br />
