DocuSign Envelope ID:CB76483E-567E-4F74-A6E4-OBD470778D47 <br /> ORANGE COUNTY GOVERNMENT <br /> STATEMENT OF AGREEMENT FOR <br /> THE USE OF FACILITY AS MASS VACCINATION SITE <br /> The Orange County Government, by and through its Orange County Health Department <br /> (hereinafter, "Orange County") is dedicated to ensuring the appropriate and efficient distribution <br /> of COVID-19 vaccinations throughout Orange County. The Orange County Speedway, LLC <br /> (hereinafter, "Speedway") has agreed to permit Orange County use the Speedway's buildings, <br /> grounds, and equipment in the conduct of Orange County's vaccine distribution activities, and <br /> wishes to cooperate with Orange County for such purposes. <br /> The parties hereto mutually desire to reach an understanding that will result in making the <br /> aforesaid Speedway facilities available to Orange County for the aforesaid use. Now, therefore, <br /> it is mutually agreed between the parties as follows: <br /> 1. The Speedway agrees that it will permit the use of its physical facilities located at 9740 NC- <br /> 57, Rougemont, NC 27572 by Orange County as a vaccination distribution site on March 19, <br /> 2021 from 8:00am to 11:00pm and April 8, 2021 from 12:00pm to April 9, 2021 at 11:00pm. <br /> 2. Orange County agrees that it shall exercise reasonable care in the conduct of its activities in <br /> such facilities. <br /> 3. Orange County will have primary responsibility for operation of the vaccination distribution <br /> site and will designate an Orange County Government official, the Site Manager, to manage <br /> the vaccination distribution activities. The Speedway will designate an individual, the Facility <br /> Coordinator, to coordinate with the Site Manager regarding use of the facility by Orange <br /> County. Orange County and the Speedway should remain in contact during operation of the <br /> facilities. <br /> 4. To the extent permitted by North Carolina Law, Orange County agrees to defend, hold <br /> harmless, and indemnify the Speedway against any legal liability in respect to bodily injury, <br /> death, and property damage, arising from the negligence of Orange County during its use of <br /> the property belonging to the Speedway. <br /> 5. Orange County and the Speedway will complete a walk-through of the facility before it is <br /> opened for use, noting any previous damages or issues. Before Orange County vacates the <br /> facility, Orange County and the Speedway will compete a walk-through of the facility to <br /> make note of any damages caused as a result of the operation of the facility that were not <br /> previously present. <br /> 6. Orange County may post signs identifying the vaccination distribution site in locations <br /> approved by the Facility Coordinator and will remove such signs when the vaccination <br /> distribution site is closed. The Speedway will not issue press releases or other publicity <br /> concerning the site without the express written consent of the Site Manager. The Speedway <br /> will refer all media questions about the vaccination distribution site to the Site Manager. <br />
