Additional Definitions. <br /> a. Content means text, images, documents, materials, and all other forms of data or <br /> communication. <br /> b. Customer Content means all Content made available by Customer or its Authorized <br /> Users to Spatialest for use in connection with the Subscription Services or generated <br /> by Customer via use of the Subscription Services. <br /> c. Spatialest Content means all Content made available by Spatialest to Customer in <br /> connection with Customer's use of the Subscription Services. <br /> 2. Subscription Period. "Subscription Period" means the period in which Customer is authorized <br /> to utilize the Subscription Services.The initial Subscription Period shall be listed on the applicable Sales <br /> Order (the "Initial Subscription Period"). At the conclusion of the Initial Subscription Period or the <br /> applicable Renewal Subscription Period, the license to the Subscription Services shall automatically <br /> renew for successive twelve month Subscription Periods (each a "Renewal Subscription Period", <br /> where the Initial Subscription Period and any Renewal Subscription Period are collectively referred to <br /> herein as the "Subscription Period"), unless either party provides the other with written notice of its <br /> intent not to renew the Subscription Services at least 60 days prior to the end of the then-current <br /> Subscription Period. All licenses granted with respect to the Subscription Services and any related <br /> Documentation shall immediately expire on the last day of the Subscription Period. <br /> 3. License Grant. Subject to the terms and conditions of this Agreement,and in consideration for <br /> the payment of fees for the Subscription Services set forth on the applicable Sales Order, Spatialest <br /> hereby grants to Customer,solely during the Subscription Period for the Subscription Services, a non- <br /> exclusive, non-transferable license to access and use the Subscription Services. This license is <br /> restricted to use by Customer and its Authorized Users and does not include the right to use the <br /> Subscription Services on behalf of any third party. Customer is responsible for procuring and <br /> maintaining the network connections that connect the Customer to the Subscription Services. <br /> 4. Subscription Services Warranty. Spatialest warrants that during the Subscription Period, the <br /> Subscription Services will conform, in all material respects, with its Documentation. Spatialest does <br /> not warrant that it will be able to correct all reported defects or that use of the Subscription Services <br /> Spatialest Master Software and Services Agreement 20 <br />
