The Order Form sets forth Fees for designated levels of <br /> usage, Authorized Users, data storage, and support (each a "Services Allocation"), including the <br /> Fees payable by Customer for the levels of usage and data storage in effect as of the effective date <br /> of this TOS. Customer agrees that Submittable has no obligation to permit Customer to exceed its <br /> then-current Services Allocation. <br /> (k) Professional Services. Provided Customer has purchased additional professional services <br /> from Submittable, the terms of such services, including additional payment terms are set forth in a <br /> separate order form for such services which is incorporated here by reference. <br /> (1) Certain End User Data. Provided End User Data is not Customer Data, Customer agrees <br /> that Submittable may utilize End User data for any purpose upon appropriate electronic consent <br /> by the End User who owns the data. <br /> (m) Removal of Customer Data. Submittable may remove or disable any Customer Data (i) as <br /> permitted under this TOS; (ii) as required by applicable law; or (iii) thirty (30) days after the Term. <br /> (n) Resultant Data. Notwithstanding anything to the contrary in this TOS, Submittable may <br /> monitor Customer's use of the Services and collect and compile Resultant Data. As between <br /> Submittable and Customer, all right, title, and interest in Resultant Data, and all intellectual <br /> property rights in Resultant Data, belong to and are retained solely by Submittable. Customer <br /> acknowledges that Submittable may compile Resultant Data based on Customer Data input into <br /> the Services. Customer agrees that Submittable may (i) make Resultant Data publicly available in <br /> compliance with applicable law, and (ii) use Resultant Data to the extent and in the manner <br /> permitted under applicable law. <br /> (o) Submittable Access. Submittable has the right, but not the obligation, to monitor the <br /> Customer's use of the Services or Customer Data to determine compliance with this TOS, at <br /> Customer's request for technical support or otherwise, and to satisfy any Law or authorized <br /> government request. <br /> (p) Hosting. Submittable utilizes a third-party to provide hosting for the Services and reserves <br /> the right to change providers. However, Submittable represents and warrants that it will store all <br /> Customer Data in the United States, except that Submittable will not be responsible for any third- <br /> party's (including End User's) storage, transmission, transportation, use, or access of Customer <br /> Data outside the United States unless such storage transmission, transportation, use, or access <br /> resulted from the negligence or wrongful acts or omissions of Submittable or its Representatives. <br /> (q) Changes to Services. Submittable reserves the right, in its sole discretion, to make any <br /> changes to the Services and Submittable IP that it deems necessary or useful to: (i) maintain or <br /> enhance: (1) the quality or delivery of Submittable's Services to its customers; (2) the competitive <br /> strength of or market for Submittable's Services; or (3) the Services' cost efficiency or performance; <br /> or (ii) to comply with applicable law. <br /> (r) Subcontractors. Submittable may from time to time in its discretion engage third-parties to <br /> perform Services (each, a "Subcontractor"). <br /> 4. Customer Responsibilities. <br /> (a) General. Customer is responsible and liable for all uses of the Services and Documentation <br /> resulting from access provided by Customer, directly or indirectly, whether such access or use is <br /> permitted by or in violation of this TOS. Without limiting the generality of the foregoing, Customer <br /> is responsible for all acts and omissions of Authorized Users, and any act or omission by an <br /> Authorized User that would constitute a breach of this TOS if taken by Customer will be deemed a <br /> breach of this TOS by Customer. Customer shall use reasonable efforts to make all Authorized <br /> Users aware of this TOS's provisions as applicable to such Authorized User's use of the Services, <br /> and shall cause Authorized Users to comply with such provisions. <br /> Submittable Customer Terms of Service v1.1 Page 4 of 13 <br />
