27 <br /> OWNER AUTHORIZATION AND CONSENT <br /> (LAND USE,REZONING AND ENTITLEMENTS) <br /> THIS OWNER AUTHOIIRIZATION AND CONSENT ("Authorization") is made and entered <br /> into as of the date set forth below, by LANDMARK MANAGEMENT PARTNERS, LLC AND <br /> FACILITY CARE SERVICES, C. (hereinafter jointly and severally referred to as "Owner"), for the <br /> benefit of TERRA EQUITY,INC.,a Texas corporation and/or its successors and assigns("Buyer"), and <br /> ORANGE COUNTY,NORTH CAROLINA(the "County"); <br /> RECITALS <br /> A. Owner is the owner of that certain real property located in Orange County, North <br /> Carolina, bearing PIN Number 9862-99-8894 and more particularly described on Exhibit A attached <br /> hereto (the "Property"). <br /> B. Buyer is under contract to purchase the Property and in connection therewith has made <br /> and/or intends to make certain applications to the-County for land use amendments, map amendments, <br /> rezoning, zoning amendments, site plan approval, permits, and other approvals and entitlements <br /> necessary or desired in connection with the proposed purchase and/or development of the Property(the <br /> "Entitlement Requests"). <br /> C. Owner has agreed to provide this Authorization to authorize and consent to the <br /> Entitlement Requests. <br /> AUTHORIZATION AND CONSENT <br /> NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein <br /> and other good and valuable consideration,the receipt and sufficiency of which is hereby acknowledged, <br /> Owner hereby authorizes Buyer to make the Entitlement Requests and hereby consents to the Entitlement <br /> Requests.
