Between The University of North Carolina <br />School of Dentistry for its <br />Department of Dental Ecology <br />` And Orange County Health Department <br />And UNC Hospitals <br />Page 2 of 3 <br />3 <br />4: The person whose services are to be provided pursuant to the Agreement is, for all purposes <br />an employee of The University of North Carolina School of Dentistry. <br />5. While the School of Dentistry faculty is on rotation at the Orange County Health Department, <br />professional liability insurance coverage will be provided by the School of Dentistry with <br />coverage of at least $1 million, per incident, $3 million per year. <br />6. This Agreement shall run far a period of one year, from the i~ day of July 2001 to the 30~' <br />day of June 2002, and shall be renewable thereafter. <br />7. This Agreement or its renewals may be terminated at any time without penalty by either <br />party provided that written notice of such termination is furnished to the other party at least <br />90 days prior to termination. In the event of such termination any payment due shall be <br />prorated to the date of termination. <br />8. In compliance with 42 U.S.C. 1395x(v)(1)(1) and implementing regulations, The School of <br />Dentistry and The Health Department agree, until the expiration of four year after the <br />services are furnished under this contract, to allow the Secretary of the Department of Health <br />and Human Services and the Comptroller General access to this contract and to the books <br />documents and recorcJs of The School of Dentistry and The Health Department necessary to <br />verify the nature and extent of this contract. <br />9. The Health Department and The University of North Carolina hereby agree with The School <br />of Dentistry that in its educational and/or employment practices The Health Department and <br />The School of Dentistry will comply with such non-discrimination laws as may be applicable <br />to it in the performance of this Agreement. <br />10. The Agreement contains the entire understanding of the parties and shall not be altered, <br />amended or modified, except by an agreement in writing executed by the duly authorized <br />official of both parties. <br />The laws of North Carolina shall govern the validity and interpretations of the provisions, terms and <br />conditions of the Agreement. <br />
