DocuSign Envelope ID:A8AB5691-FE14-4D7D-A360-BA91CC31C7A3 <br /> NORTH CAROLINA <br /> CONTRACT AMENDMENT <br /> ORANGE COUNTY <br /> THIS CONTRACT AMENDMENT("Amendment") is made and entered into this 6th day of April, 2020 by and <br /> between ORANGE COUNTY (hereinafter referred to as "County") and STEWART-COOPER-NEWELL <br /> ARCHITECTS (hereinafter referred to as"Consultant"). <br /> WITNESSETH: <br /> THAT WHEREAS, the County and Consultant entered into a contract dated June 3, 2019, (hereinafter the "Original <br /> Agreement"), for the provision of consulting services for the refraining of housing program offerings to the County; and <br /> WHEREAS, the County and Consultant desire to amend the Original Agreement while keeping in effect all terms and <br /> conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br /> amend the Original Agreement as follows: <br /> 1. In order to ensure the completion of the Services identified in the term of the Original Agreement is amended <br /> to reflect an end date by which all Services shall be completed as of February 28, 2022. <br /> 2. Exhibit 1 to the Original Agreement is amended by adding the following tasks and services to the Services to <br /> be provided by the Consultant: Proposal Dated: January 10, 2020 Rev 3-26-2020 - This project includes the <br /> design of a new 5,000 square foot building (conventional construction) that will house the County's <br /> Emergency Management Substation #4 on the 3.7 acre property. The new building will feature bunk rooms, <br /> decontamination, laundry, kitchen, dayroom, restrooms, offices, storage, ambulance bays and other amenities <br /> as generally outlined in the 2014 prototype study. Along with the new facility, the existing 4,260 square foot, <br /> load bearing masonry building located on the same site at 3800 Hwy 70, Efland NC shall be renovated to be <br /> used as the County Morgue. There are no new planned additions. The current plan is that the building's <br /> structural system will be modified to accommodate new openings in existing walls, new electrical, and <br /> HVAC work will be required along with new restrooms and minor interior layout changes. There is a credit <br /> of$71,027.40 removed from the original contract, and an addition of$281,200 for the new design. <br /> 3. Article 5, Section 5.1.1 is amended to reflect a maximum payable not-to-exceed amount of Three Hundred <br /> Eighty Thousand, Four Hundred Fifty Two Dollars and Sixty Cents ($380,452.60). This total includes the <br /> original contract amount of$170,280. Credit of$71,027.40 unused funds, for a total Original contact amount <br /> of$99,252.60. Original Contract of$99,252.60 + Change Amendment One $281,200 = maximum payable <br /> not-to-exceed amount of$380,452.60. <br /> 4. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent <br /> it is not inconsistent with this Amendment. In the event that there is a conflict between the Original <br /> Agreement and this Amendment,this Amendment shall control. <br />
