DocuSign Envelope ID:6DC1ED22-B276-4193-B1F9-548B6AFFC7C5 <br /> NORTH CAROLINA AFFORDABLE HOUSING LAND <br /> ORANGE COUNTY BANKING/MANUFACTURED HOME <br /> PARK INITIATIVE DEVELOPMENT <br /> AGREEMENT <br /> This is an AGREEMENT between Orange County, a general local governmental unit of <br /> the State of North Carolina, (hereinafter referred to as the "County") and Empowerment, Inc., a <br /> North Carolina Non-Profit Corporation (hereinafter referred to as "Owner" or "Empowerment"). <br /> The effective date of this Agreement is March 23, 2018. <br /> WITNESSTH <br /> WHEREAS, the County, has set aside funds for mitigating resident displacement and <br /> relocation challenges due to manufactured home park closures and redevelopment efforts; and <br /> WHEREAS, the Orange County Board of Commissioners awarded Empowerment, Inc. <br /> up to $ 280,600 to assist in the provision of relocation coordination services, including securing <br /> new or near-new manufactured homes and associated rental lots on March 20, 2018 (hereinafter <br /> "Project Funds"); and; <br /> WHEREAS, Empowerment agrees to utilize the Project funds for the purpose of <br /> providing relocation coordination and other associated services as it relates to manufactured <br /> home park closures as identified by Orange County's Housing and Community Development <br /> Department. See Exhibit A for the Scope of Services. <br /> WHEREAS, notwithstanding any provision of this Agreement, the County and <br /> Empowerment hereto agree and acknowledge that this Agreement does not constitute a <br /> commitment of funds or site approval, and that such commitment of funds or approval may occur <br /> only upon satisfactory completion of an environmental review, as applicable. The parties further <br /> agree that the provision of such funds to the project is conditioned on Orange County's <br /> determination to proceed with, modify, or cancel the project based on the results of a subsequent <br /> environmental review, as applicable. <br /> NOW, THEREFORE, in consideration of the mutual covenants, promises, and <br /> representations contained herein, it is agreed between the parties hereto as follows: <br /> I. USE OF FUNDS <br /> A. The Owner shall perform the projects or tasks related to its allocation of funds as <br /> provided in Exhibit A, Scope of Services, and within the proposed budget outlined in <br /> Exhibit B, Budget and as contained herein. <br /> B. The Owner may not request disbursement of funds under this Agreement until the funds <br /> are needed for payment of eligible costs except in the case of administrative funds, which <br /> 1 <br />
