(the "Provider"), party of the second part; WITNESSETH: For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby contracts for the services of the Provider, and the Provider agrees to provide the following services to the County in accordance with the terms of this Agreement,time being of the essence: The services and/or materials and/or construction (hereinafter referred to collectively as "Services") to be furnished under this Agreement are as follows: To provide the following amusement equipment at River Park in Hillsborough for Sat, April 4, 2020 during the time of 4:00 p.m. - 7:00 p.m.. All equipment will be setup and functioning per NC State Statues governing inflatables/amusement equipment i.e., inflatables properly staked into the ground, generators are protected from patrons, etc. starting at 4:00 p.m. and broken down following the event at 7:01 p.m. (3)Generators @$75.00 each =$225.00 (1) 30'Toxic Obstacle Course =$310.00 (1)Pirate Ship = $260.00 (1)18'Toxic Dual Dry Slide =$375.00 (I)Interactive Basketball Challenge =$325.00 (I)Interactive Soccer Game =$325.00 (1)2 Piece Obstacle Obstacle Beginning Obstacle Slide = $400.00 SubTotal $2,220.00 Damage Waiver: 5% $111.00 $2,331.00 Coupon: five -$111.00 $2,220.00 Tax: 7.25% $160.95 $2,380.95 Fuel Charge for Hillsborough $75.00 $2,455.95 The term of this agreement rendered shall be from April 4,2020 to April 11,2020. Provider represents and agrees that Provider is qualified to perform and fully capable of performing and providing the services required or necessary under this Agreement in a fully competent, professional and timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, ambiguities,mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or responsibility granted or required by this Agreement,without the prior written approval of the County. SPECIFIC TERMS I. Payment: The County agrees to pay at the rates specified for Services satisfactorily (as determined by the County) performed in accord with this Agreement. The amount to be paid by the County shall not exceed two-thousand four-hundred fifty-five dollars and ninty-five cents, ($2,455.95). Payment Revised 11/19 1
