<br />   							COMMERCIAL LEASE AGREEMENT
<br />       			THIS COMMERCIAL LEASE AGREEMENT ("Lease") is made and entered into as of the
<br />    		Date of Lease (as hereinafter defined) by and between 1000 CORPORATE DRIVE, LLC, a North
<br />    		Carolina limited liability company ("Landlord"); and ORANGE COUNTY, NORTH CAROLINA, a
<br />    		body politic and corporate and a political subdivision of the State of North Carolina("Tenant").
<br />      			FOR AND IN CONSIDERATION of the terms, covenants and conditions set forth below and
<br />    		other good and valuable consideration,the receipt and sufficiency of which are hereby acknowledged,the
<br />    		parties hereto covenant and agree as follows:
<br />       			1.   PREMISES.   Subject to each of the terms, covenants and conditions set forth below,
<br />    		Landlord leases and rents unto Tenant, and Tenant leases and rents from Landlord, all of that certain real
<br />    		property located in Orange County,North Carolina,having the following physical address and description
<br />    		(the"Premises):
<br /> 					Address: 1000 Corporate Drive, Suites 401 and 402,Hillsborough,NC 27278
<br /> 					Additional Description: Approximately 2,850 square feet.
<br /> 					(X) See attached Exhibit A for additional description of the Premises.
<br />      			When and as used in this Lease, the term "Building" shall mean (a) the building in which the
<br />    		Premises are located if the Premises are less than the entire building, or (b) any commercial use building,
<br />    		the entirety of which constitutes all or a part of the Premises.
<br />       			Unless otherwise expressly provided in this Lease,Landlord shall deliver the Premises to Tenant,
<br />    		and Tenant shall accept the Premises from Landlord, in such AS-IS condition as the Premises exist on the
<br />    		date of this Lease.
<br />       			2.   TERM.    The  initial  term  of this  Lease  shall  commence  on  March  16,  2020  (the
<br />    		"Commencement Date") and shall end at midnight (local time) on February 28, 2023 (the "Expiration
<br />    		Date") unless sooner terminated as hereinafter provided. Notwithstanding the foregoing, and provided that
<br />    		Tenant is not in default under any term, covenant and/or condition contained in this Lease, Tenant shall have
<br />    		the right and option to extend the initial term of this Lease for two(2)terms of one (1)year each as provided
<br />    		below. The first extension term shall commence,if at all,on March 1,2023 and end at midnight(local time)
<br />    		on February 29, 2024 unless sooner terminated as hereinafter provided.  Tenant shall exercise its right and
<br />    		option to extend the initial term of this Lease for a term of one(1)year, if at all,by delivering written notice
<br />    		of Tenant's exercise of its right and option to extend the Lease to Landlord not later than October 31, 2022.
<br />    		In the event Tenant shall deliver such written notice to Landlord when and as provided above,the initial term
<br />    		of this Lease shall then and thereupon be extended, subject to all of the terms, covenants and conditions
<br />    		contained in this Lease, until midnight (local time) on February 29, 2024 unless sooner terminated as
<br />    		hereinafter provided.  In the event Tenant shall fail,for any reason,to deliver such written notice to Landlord
<br />    		on or before October 31, 2022 as hereinabove provided, the initial term of this Lease shall end at midnight
<br />    		(local time) on the Expiration Date unless sooner terminated as hereinafter provided. The second extension
<br />    		term shall commence, if at all, on March 1, 2024 and end at midnight (local time) on February 28, 2025
<br />    		unless sooner terminated as hereinafter provided.  Tenant shall exercise its right and option to extend the
<br />    		Lease for a second additional term of one(1)year, if at all,by delivering written notice of Tenant's exercise
<br />    		of its right and option to extend the Lease to Landlord not later than October 31, 2023.  In the event Tenant
<br />    		shall deliver such written notice to Landlord when and as provided above, the term of this Lease shall then
<br />    		and thereupon be extended, subject to all of the terms,covenants and conditions contained in this Lease,until
