3 <br />February 2020 <br />F. Non-Discrimination. Provider shall at all times remain in compliance with all applicable <br />local, state, and federal laws, rules, and regulations including but not limited to all state <br />and federal non-discrimination laws, policies, rules, and regulations and the Orange <br />County Non-Discrimination Policy and Orange County Living Wage Policy (each policy <br />is incorporated herein by reference and may be viewed at <br />http://www.orangecountync.gov/departments/purchasing_division/contracts.php.) Any <br />violation of the Orange County Non-Discrimination Policy is a breach of this Agreement <br />and County may immediately terminate this Agreement without further obligation on the <br />part of the County. This paragraph is not intended to limit and does not limit the <br />definition of breach to discrimination. <br /> <br />G. Term. The term of this Agreement shall be from January 1, 2020 through December 31, <br />2020, unless terminated sooner as provided herein; and then renewable for a year <br />(January 1, 2021 through December 31, 2021) for an additional term under the same <br />terms and conditions upon prior written agreement by the Parties. <br /> <br />H. Compensation for Services. <br /> <br />1. Compensation for services shall include all compensation due the Provider <br />from the County for all services under this Agreement. The maximum <br />amount payable for Services is Thirteen thousand and five hundred dollars <br />($13,500). Payment for services shall become due and payable within thirty <br />(30) days of Provider properly invoicing County as provided below. Payment <br />shall be subject to provisions of the subsection titled “Disputes,” below. <br /> <br />2. Fee. County shall pay Provider Sixty-Five Dollars ($65.00) for each free- <br />roaming cat treated under this Agreement. <br /> <br />3. Terms of Payment: Provider shall a summary sheet/invoice for monthly <br />services to the County on or about the tenth of every month. This <br />documentation shall be submitted to Orange County and be addressed to: <br /> <br />Animal Services Director <br />Orange County Animal Services Center <br />1601 Eubanks Road <br />Chapel Hill, North Carolina 27516 <br /> <br /> Payment shall be made to Provider and be addressed to: <br /> <br /> Independent Animal Rescue, Inc. <br /> Post Office Box 14232 <br /> Durham, North Carolina 27709-4232 <br /> <br />4. Disputes. In the event the amount stated on an invoice is disputed by the <br />County, the County may withhold payment of all or a portion of the <br />amount stated on an invoice until the parties resolve the dispute.
