<br /> <br />Virtual Medicine Services Agreement Page 2 <br /> <br /> <br />update the database periodically with information provided by the Client or its third party <br />administrator as new Participants are enrolled. <br />1.6 Data Privacy. The Parties agree that that they will each maintain in strict <br />confidence any and all patient information they may have access to by complying with the <br />Privacy and Security Standards of HIPAA and the American Recovery and Reinvestment Act of <br />2009, including, without limitation, the requirements of the Health Information Technology for <br />Economic and Clinical Health Act, which is part thereof, and the Client agrees to secure from the <br />applicable medical benefit plan or its third party administrator a HIPAA Business Associate <br />Agreement in a form acceptable to RelyMD, to the extent such agreement is required by law. <br />1.7 Independent Contractor. RelyMD is at all times acting and performing <br />hereunder as an independent contractor with respect to Client. <br />1.8 Notices. Any notice, in relation to this Agreement shall be in writing and be <br />deemed to have been served properly if hand delivered or sent by reputable overnight express <br />delivery service, or by certified mall, return receipt requested, postage prepaid and addressed to <br />the signatory to this Agreement at the address designated in the signature block below. <br />1.9 Governing Law and Venue. The Parties agree that this Agreement shall be <br />governed by and construed in accordance with the laws of the State of North Carolina, without <br />regard to its conflicts of law principles.
