(Atlas) is a professional corporation registered in North Carolina and is an independent <br /> consultant. Atlas agrees to provide consulting services described above. Client agrees to pay Atlas'invoice upon receipt,and to pay late charges of I%per <br /> month for invoices unpaid over 30 days. Atlas will perfonn its services using that degree of care and skill ordinarily exercised under similar conditions of <br /> Atlas'profession practicing in the same or similar locality at the time of service. No other warranty,expressed or implied,is made or intended by Atlas' <br /> proposals or reports. Atlas maintains insurance coverage including Commercial General Liability Insurance and Professional Liability Insurance. Client <br /> agrees that Atlas' liability to Client or any third party due to any negligent professional acts,errors,or omissions or breach of contract by Atlas will be <br /> limited to an aggregate of$10,000, Client will arrange for Atlas'right-of-entry to the property for the purpose of performing its services,and will inform <br /> Atlas of known hazards on the property. Atlas is not liable for damage or loss due to conditions not made known to Atlas by Client. Atlas is not <br /> responsible for the safety provisions,means,methods,or actual work performed on any property or construction site. Atlas will furnish the agreed upon <br /> number of documents. These instruments of service are furnished far Clients sole internal use for the single project site identified above,and remain <br /> property of Ail as. Client will release to Atlas information deemed necessary by Atlas for performance of the work. Atlas may rely upon said information in <br /> performance of the work. The parties will attempt to resolve any dispute vdthout litigation. Where Client makes a claim not upheld in trial,Client will pay <br /> all costs incurred by Atlas defending the claim. Client will pay Atlas in accordance with Atlas'standard tees for any testimony,deposition,or preparation <br /> therefore,connected with the work,where Atlas is not a party to the dispute.
