Signature of this agreement confirms your authorization of the work requested/proposed and clarifies the terms and conditions under which services are provided. Compensation for services will be based on Atlas' schedule of fees,or as otherwise indicated below. Project Name & Location: Waterproofing and Building Exterior Consulting Services, Orange County Storm Drainage Repairs at Four Facilities,Hillsborough,North Carolina Scope of Work Authorized: Atlas Engineering, Inc. will provide engineering consulting services to Summit Design and Engineering Services in accordance with our proposal dated January 8,2020. prepared by: Kelli Wilcox,PE,RRC date: 01/08/2020 (Atlas Engineering) Compensation: Services will be performed in accordance with lump sum and unit costs in accordance with our proposal dated January 8,2020. Services will be invoiced on a monthly basis. (Atlas) is a professional corporation registered in North Carolina and is an independent consultant. Atlas agrees to provide consulting services described above. Client agrees to pay Atlas'invoice upon receipt,and to pay late charges of 1%per month for invoices unpaid over 30 days. Atlas will perform its services using that degree of care and skill ordinarily exercised under similar conditions of Atlas'profession practicing in the same or similar locality at the time of service. No other warranty,expressed or implied,is made or intended by Atlas' proposals or reports. Atlas maintains insurance coverage including Commercial General Liability Insurance and Professional Liability Insurance. Client agrees that Atlas' liability to Client or any third party due to any negligent professional acts,errors,or omissions or breach of contract by Atlas will be limited to an aggregate of$10,000. Client will arrange for Atlas'right-of-entry to the property for the purpose of performing its services,and will inform Atlas of known hazards on the property. Atlas is not liable for damage or loss due to conditions not made known to Atlas by Client. Atlas is not responsible for the safety provisions,means,methods,or actual work performed on any property or construction site. Atlas will furnish the agreed upon number of documents. These instruments of service are famished for Clients sole internal use for the single project site identified above, and remain property of Atlas. Client will release to Atlas information deemed necessary by Atlas for performance of the work. Atlas may rely upon said information in performance of the work. The parties will attempt to resolve any dispute without litigation. Where Client makes a claim not upheld in trial,Client will pay all costs incurred by Atlas defending the claim. Client will pay Atlas in accordance with Atlas'standard fees for any testimony,deposition,or preparation therefore,connected with the work,where Atlas is not a party to the dispute.
