Page 2 <br /> Article 4 : Election of Officers : The elected officers of the Network shall be Chairman , <br /> Vice-Chairman and Secretary=Treasurer . <br /> Section 1A : The officers shall be elected by the Network during its annual meeting . <br /> They shall hold office for two years , not to exceed two consecutive terms . <br /> Section 1B : Officers shall be elected by secret ballot . In case of only one nominee for <br /> an office, the vote may be by voice . <br /> Section 2 : Vacancies : All vacancies shall be filled at the next regular meeting of the <br /> Network with nominations by the Nominating Committee . <br /> Article 5 : Duties of Officers : A . The Chairman of the Network shall be the chief executive <br /> officer of the Network and shall serve as chairman of the Steering Committee . The Chairman <br /> shall perform. all of the duties which usually pertain to4 the office of the chairman and shall be <br /> an ex-officio member of all committees . B . The Vice- Chairman in the temporary absence , <br /> disabilityor disqualification of the Chairman shall perform all of the duties of the Chairman , <br /> q <br /> The Vice- Chairman shall serve as chairman of the Program Committee for the annual <br /> meeting . C . The Secretary-Treasurer shall perform administrative duties assigned by the <br /> Chairman and record official minutes for the Network . The Secretary-Treasurer shall receive <br /> and disburse funds as directed by the Steering Committee . <br /> Article 6 : Standing Committees : The Network shall have two standing committees : a <br /> three member Nominating Committee , appointed by the Network Officers to represent the <br /> Eastern/ Coastal , Central/Piedmont , and Western/Mountain regions of the state , and a <br /> Technical Advisory Committee . Additional committees can be formed at the discretion of <br /> the Steering Committee . <br /> Article 7: Meetings : There shall be at least four meetings of the Steering Committee each <br /> year , inclusive of the Network' s annual . meeting . Special meetings may be called by the <br /> Chairman . A simple majority of the Steering Committee shall constitute a quorum. <br /> Article 8 : Parliamentary Authority : The rules contained in Robert 's Rules of Order shall <br /> govern the Network in all cases to which they are applicable and in which they are not <br /> inconsistent with these by-laws . <br /> Article 9 : Amendments : The by-laws of the Network may be amended by a two-thirds vote <br /> of the members present at the annual meeting . <br /> i Ellis, Victor Sharpe, Ben , and Everett Ward, <br /> e proposed -laws were developed Hattie El <br /> Th �p <br /> p p �' <br /> p �' <br /> the Organization and By-Laws Committee of the North Carolina African American Task Force on <br /> Historic Preservation. The Task Force, having revised the proposed by -laws, recommends approval <br /> of a general resolution by the Network to operate under the proposed by-laws for one year, pending <br /> their revision and final adoption at the annual meeting in 1999. <br /> February 27 , 1998 <br />
