Robert's Rules of Order <br /> (latest edition) shall govern the conduct of the meetings . <br /> ARTICLE VII . <br /> POWERS .AND DUTIES OF THE BOARD OF DIRECTORS <br /> Section 7.01 Powers, The Board of Directors shall have power to. <br /> (a) suspend the voting rights of any Member during any period in which such Member <br /> shall be delinquent xn the payment of any Common Expense Liability, Special Assessment or other fee, cost, <br /> charge or expense levied against any Unit owned by such Member, <br /> (b) to the extent permitted by law, file alien on, behalf of the Association against any <br /> Unit in the event payment of any Common Expeanses Liability, Special Assessment or other fee, cost, charge <br /> or expense levied against such Unit shall become delinquent, and/or commence appru- priate legal action to <br /> enforce such lien and/or effect collection of any such delinquent Common Expenses Liability, Special <br /> Assessment or- other fee, cost, charge or expense; <br /> (c) declare the office of a Director to be vacant in the event such Director shall be <br /> absent from three (3) consecutive meetings of the Board of Directors; <br /> (d) elect and , employ a President, who shall be the chief executive officer of the <br /> Association, and such other employees as they deem necessary, and to prescribe their duties; <br /> (e) elect such other Officers of the Association as it may deem necessary, <br /> (fl elect a successor Director to fill the vacancy of any Director removed by the <br /> Members or declared vacant by the Board of Directors; <br /> (g) establish such committees as it may deem appropriate; and <br /> (h) exercise for the Association any and all other powers, duties and authority vested in, <br /> conferred upon or delegated to the Association pursuant to the North Carolina Nonprofit Corporation Act, the <br /> North Carolina Condominium Act, the Articles of Incorporation, these Bylaws and/or the Declaration and not <br /> agxwsly reserved to the Members by the North Carolina Nonprofit Corporation Act, the North Carolina <br /> Condominium Act, the Articles of Incorporation, these Bylaws and/or the Declaration. . <br /> Section 7.02 Duties. It shall be the duty of the Board of Directors to : <br /> (a) cause to be kept a complete record of all its acts and corporate affairs and to present <br /> a statemont thereof to the Members at the annual meeting of the Members, or at any special meeting which <br /> such statement is requested in writing any Member, <br /> (b) supervise all Officers, agents and employees of the Corporation, and to see that their <br /> duties are properly Performed; <br /> (c) issue, or to Cause an appropriate Officer to issue, upon demand by any Member, a <br /> certificate setting forth whether any Common Expenses Liability, Special Assessment or other fee, cost, <br /> charge or expense required to be paid by any Member has been paid Such certificate shall be conclusive <br /> evidence of such payment; <br /> =66= <br />
