The Owner shall be responsible for any and all costs of <br /> • such alterations, including permits, licenses, approvals and clean up, and . shall indemnify and hold <br /> hanmlegs, to the extent permitted by law, the Association and each other Owner from and against any <br /> claim . . loss, damage, penalty and/or liability, including reasonable attorneys ' fees, incurred or suffered as <br /> a consequence of the installation, construction and/or maintenance of such alterations. <br /> ARTICLE VM <br /> THE ASSOCIATION <br /> Section 8.01 The Association. The administration and management of the Condominiums shall <br /> be vested in the Association which shall be incorporated as a North Carolina nonprofit corporation in <br /> accordance with the Articles of Incorporation- in the form attached as EIH3IT C and the Bylaws in the <br /> form attached as EI1T D. The name of the Association shall be Gateway Center Condominium <br /> Association, Inc. <br /> Section 8 :02 Membership. The Association`s membership shall consist of all Owners, <br /> including the Declarant for so long as the Declarant shall retain ownership of at least one ( 1 ) Unit. & Each <br /> Owner shall, upon acquiring a legal or equitable interest in a Unit (exclusive of (i) any legal or equitable <br /> interest in any Unit acquired by any person as security for an obligation, or (ii) any leasehold interest in <br /> any Unit, or (m) any option, right of first refusal or other right to acquire or possess any Unit on a- future <br /> date), automatically become a member of the Association and remain a member of the Association until <br /> such time as its ownership of such Unit shall terminate 'for any reason: Each Owner' s membership in the, <br /> Association is mandatory. Each Owner's membership in the Association shall automatically terminate <br /> immediately upon such Owner's transfer of its interest in its Unit to another person. In the event the <br /> Owner of a Unit shall consist of more than one ( 1 ) person, each such person shall be a member of the <br /> Association. ' Membership in the Association shall be appurtenant to, and may not be separated from, <br /> ownership of a Unit. The Association's operation of the Condominium, including, without limitation, the <br /> maintenance, repair, replacement and operation of the Common Elements, and any additions and <br /> - -42- <br />
