NORTH CAROLINA AMENDMENT TO PURCHASE ORDER <br />ORANGE COUNTY NO. 1901065-00 <br /> <br />WITNESSETH <br />1. Whereas, on the 11th day of December, 2018, the County of Orange entered into <br />a Purchase Order with Carolina Environmental Systems, Inc. to purchase (1) <br />Freightliner Hooklift, waste disposal truck, and; <br /> <br />2. Whereas, the total purchase price for the truck mentioned in paragraph 1 above <br />was a sum in the amount of $199,550.00, and the truck was delivered to the <br />County of Orange on or about the 19th day of August, 2019, and; <br /> <br />3. Whereas, upon delivery of the truck mentioned in paragraph 1 above, certain <br />welds on the truck were found to be unacceptable to the County of Orange, and; <br /> <br />4. Whereas, the parties have met and have discussed the concerns the County of <br />Orange has with certain welds, and Carolina Environmental Systems, Inc. has <br />agreed to make repairs to the same, and add new welds to meet industry <br />standards and comply with Orange County requirements. <br />NOW THEREFORE, in consideration of the promises and mutual covenants set forth <br />herein, receipt of which is hereby acknowledged, the parties hereby agree as follows: <br />1. Carolina Environmental Systems, Inc. shall make repairs and additional new <br />welds to bring the welds up to industry standards and standards acceptable to <br />Orange County, including the reinforcement of the metal and welds. Said work <br />shall be performed beginning no later than November 11, 2019, and said welds <br />shall be completed, and the truck delivered back to Orange County no later than <br />December 11, 2019. <br /> <br />2. Carolina Environmental Systems Inc. shall be solely responsible for the quality <br />sufficiency and the costs of any such welds, including the materials, costs and <br />labor for the removal of the items welded to the truck, the new welds and the <br />pickup and delivery of the truck mentioned in this agreement. <br /> <br />3. Carolina Environmental Systems, Inc. shall provide at no cost certification to the <br />County of Orange that all necessary welds have been properly made. Such <br />certification shall be provided by an independent third-party, Swaploader, and <br />proof of such certification shall be provided at no additional cost to the County of <br />Orange upon delivery of the truck. <br /> <br />DocuSign Envelope ID: 7DB1FD44-E3AF-4A69-8974-D4C748233A13
