Cannell, Purchasing Agent <br /> (hereinafter"Seller" or"Lifeline") (hereinafter"Purchaser" or"Orange County") <br /> STATEMENT OF AGREEMENT <br /> The Parties set forth immediately above (collectively, the "Parties") agree that Seller, <br /> Lifeline, will provide one new 2019 model vehicle (the "Mobile Unit")to be constructed by <br /> Lifeline for Orange County's ownership. Specifications (the "Specifications") and drawings <br /> (the "Drawings") for the Mobile Unit are set forth in Schedules A and B attached hereto. <br /> Operating Manuals. Lifeline agrees to deliver all operating manuals and manufacturers' <br /> warranties to Orange County at the time of final acceptance. Lifeline agrees to send its <br /> representative(s)to Orange County at the time of delivery and final acceptance of the <br /> Mobile Unit to conduct training and education of Purchaser or its designee in the operation <br /> of the Mobile Unit. The expense for said training (approximately 4 hours for 2 to 5 people) <br /> will be borne by Lifeline. Additional hours of training will be provided at times, dates and <br /> locations as agreed by the Parties, and unless otherwise agreed by the Parties, such <br /> additional training shall be provided at Purchaser's sole cost and expense. <br /> Equipment and Key Information Supplied by Orange County. Lifeline is dependent on <br /> Orange County to supply certain information regarding final floor plan approval, color <br /> choices, graphic design or approvals, and sometimes certain pieces of equipment which are <br /> listed in the Specifications as "by owner." Such information, or items, supplied by Orange <br /> County to Lifeline must be in Lifeline's possession prior to the beginning of construction of <br /> the Mobile Unit. Failure to supply timely approvals, or Orange County-supplied equipment <br /> in good working order, prior to actual construction will likely result in delay of production <br /> and delivery of the completed Mobile Unit. Orange County understands that Lifeline's <br /> warranty on all Purchaser Equipment is limited to the installation only, and not the <br /> Purchaser Equipment itself. Orange County will pursue at its sole cost and expense Orange <br /> County's own warranties, repairs or other remedies with respect to all defects or failures of <br /> the Purchaser Equipment to function properly, without recourse to Lifeline. <br /> Change Orders. Orange County understands that timely completion of this project by LifeLine <br /> is in the interest of both Parties, and that changes to the Mobile Unit will change the cost of the <br /> project. Therefore, any change requested by Orange County after this purchase contract is <br /> signed must be submitted in writing by Orange County to LifeLine. Upon acceptance of the <br /> change, LifeLine will: (a) issue a change order(a "Change Order") reflecting the accepted <br /> change(s), which will include the adjusted Purchase Price for the Mobile Unit with the accepted <br /> change(s) set forth therein; and (b)generate and deliver to Purchaser documents that LifeLine <br /> deems necessary to complete the change.
