McAdams Company, Inc., (hereinafter referred to as <br /> "Provider"). <br /> WITNESSETH: <br /> THAT WHEREAS, the County and Provider entered into a contract dated M a y <br /> 2 , 2017 (internally designated as 2017-161-E and otherwise titled as HBO EDD, Ph. <br /> 1 W&S), for the provision of engineering design through bid services to the County <br /> (hereinafter the "Original Agreement"); and <br /> WHEREAS, the County and Provider entered into a Contract Amendment dated <br /> J u n e 1 , 2018 (internally designated as 2018-200-E and otherwise titled as <br /> Contract Amendment #1), for the provision of additional geotechnical investigation <br /> services to the County (hereinafter referred to as "Amendment #1); and <br /> WHEREAS, the County and Provider entered into a Contract Amendment dated <br /> September 10, 2018 (internally designated as 2018-563-E and otherwise titled as <br /> Contract Amendment #2), for the provision of "Additional Cost Opinion for Updated <br /> Construction Drawings" to the County (hereinafter referred to as "Amendment #2); and <br /> WHEREAS, the County and Provider entered into a Contract Amendment dated March <br /> 29, 2019 (internally designated as 2019-196-E and otherwise titled as Contract <br /> Amendment #3), for the provision of "Extension of Termination Date for Current <br /> Professional Services Agreement" to the County (hereinafter referred to as "Amendment <br /> #3); and <br /> WHEREAS, the County and Provider entered into a Contract Amendment dated May 22, <br /> 2019 (internally designated as 2019-290-E and otherwise titled as Contract Amendment <br /> #4), for the provision of "Bid Re-Advertisement" to the County (hereinafter referred to as <br /> "Amendment #4); and <br /> WHEREAS, the County and Provider entered into a Contract Amendment dated June 30, <br /> 2019 (internally designated as 2019-378-E and otherwise titled as Contract Amendment <br /> #5), for the provision of "Time Extension and Task 8 Revision" to the County (hereinafter <br /> referred to as "Amendment #5); and <br /> WHEREAS, the County and Provider desire to modify the Original Agreement while <br /> keeping in effect all terms and conditions of the Original Agreement not inconsistent <br /> with the terms and conditions set forth below. <br /> 101519 0.3 <br />
