Revised 12/18 <br /> <br /> <br />1 <br />[Departmental Use Only] <br /> TITLE Adam's Specialty <br />Products, LLC <br /> FY 19-20 <br />ORANGE COUNTY <br />CONTRACT UNDER $5,000.00 <br />NORTH CAROLINA <br /> <br /> THIS AGREEMENT, made and entered into this 10 day of October, 2019, (“Effective Date”) by <br />and between Orange County, North Carolina, a body politic and corporate organized under the laws of the <br />State of North Carolina, (the "County"), party of the first part; and Adam's Specialty Products, LLC (the <br />"Provider"), party of the second part; <br />W I T N E S S E T H: <br /> For the purpose and subject to the terms and conditions hereinafter set forth, the County hereby <br />contracts for the services of the Provider, and the Provider agrees to provide the following services to the <br />County in accordance with the terms of this Agreement, time being of the essence: <br />The services and/or materials and/or construction (hereinafter referred to collectively as “Services”) <br />to be furnished under this Agreement are as follows: <br />• Suncatcher 8’ Diameter Indoor/Outdoor Cat Cage valued at $3550.00 to be discounted by 50% (- <br />$1775.00) <br />• provide a sign to be placed on or near the enclosure in a noticeable place; <br />B. Services to be provided by Orange County Animal Services: <br />• List the company as a sponsor of the enclosure <br />• List the company as a sponsor of a catio tour event/workshop <br />• Distribute catalogs provided by the company to participants at a catio tour event/workshop <br />• keep and display the enclosure(s) in a place where visitors can see and interact with the <br />enclosure(s); <br />• display a sign provided, or approved, by Adam’s Specialty Products, LLC identifying the company <br />as <br />sponsors of the enclosure; <br />• List the company as a sponsor with a company logo and link to https://www.customcages.com on <br />the <br />Orange County Animal Services website. <br />• Tag @CustomCages and/or hash-tag #CustomCages in social media posts (FaceBook, Instagram, <br />SnapChat, etc..) when applicable <br />• Allow a representative of the company to visit the location of the equipment provided to take <br />photographs, video and record a testimonial. <br />• Provide photographs and video, and all rights to them, for promotional use upon request by the <br />company. <br />• Provide written, verbal and/or video testimonial about the equipment to the company upon request. <br />• Be a good-faith ambassador of the brand <br /> <br />The term of this agreement rendered shall be from 10/10/19 to 06/30/20. <br /> <br /> Provider represents and agrees that Provider is qualified to perform and fully capable of performing and <br />providing the services required or necessary under this Agreement in a fully competent, professional and <br />timely manner to the satisfaction of the County. Provider shall be responsible for all errors or omissions, in <br />the performance of the Agreement. Provider shall correct any and all errors, omissions, discrepancies, <br />ambiguities, mistakes or conflicts at no additional cost to the County. Provider agrees that Provider shall not <br />sub-contract any of the services to be provided in this Agreement, nor shall Provider assign any right or <br />responsibility granted or required by this Agreement, without the prior written approval of the County. <br /> <br />SPECIFIC TERMS <br />DocuSign Envelope ID: 920A2621-7398-4086-AB1E-FEE85C2064B3
