Generator: Any commercial or institutional concern in Orange County providing a volume of acceptable <br />source-separated, uncontaminated food waste or other identified Compostable Organic Material for cost- <br />effective collection as determined by the parties to this agreement; <br />Processing Center: Location where Food Waste and other Compostable Organic Material is composted and <br />otherwise processed for use as compost. <br />SECTION 2 <br />Term of Agr .m n <br />The term of the contract will be for tluee (3) years unless otherwise agreed by the parties; the period from <br />July 1, 2005, through .lone :30, 2008 (hereafter referred to as initial term) assuming that funds are <br />appropriated annually and the performance of the contractor is satisfactory. The level of performance <br />expected is defined in this contract. <br />This contract may be extended and/or' expanded following the initial term for a period of two (2) additional <br />years assuming that the project is successful, that County recommends continuing the program, and that <br />funding is approved annually through the approval of the overall Deparhnent of Solid Waste Management <br />budget. After the additional two (2) year term, contract extension maybe negotiated yearly, <br />Certain terms of this contract may be subject to change annually pending notice to the Contractor and <br />successful negotiation between the Contractor and County. <br />SECTION .3 <br />Sn_ne of Services <br />Contractor shall perform Food Waste and Compostable Organic Waste Collection Services in Orange <br />County as follows and as is further defined throughout this document. <br />For the sake of billing and record keeping, Food Waste Collection Services and Animal Bedding Collection <br />Services and shall be considered sepazate sub-programs, both managed by this Agreement. <br />Food Waste Collection Services: Food Waste and other acceptable Compostable Organic Material is to <br />be separated and prepared for collection by Generator. Only Food Waste or other materials agreed upon by <br />the parties and placed in Food Waste Collection Container(s) or stacked in another approved location shall <br />be collected. <br />Those services to be performed by Contractor include: (a) the scheduled collection of Food Waste from <br />locations specifically designated by the pazties (see Attachment A); (b) processing of Food Waste which <br />includes the composting, blending, curing and proper preparation of Food Waste for use as compost; (c) <br />keeping accurate and thorough records of the volume or weight of materials collected weekly, and the <br />number and type of customer complaints; and (d) ensuring that properly separated Food Waste will not be <br />landfilled. Collections may take place anywhere agreed upon by the parties to this Agreement with the <br />cooperation of the Generator; <br />Contractor shall collect and remove Food Waste on an agreed upon schedule between the County, <br />Contractor and Generators tlnee times per week typically including Monday and Friday. All separated <br />Food Wastes and other specified materials mutually agreed upon by Contractor and the County, shall be <br />collected and removed unless otherwise agreed to in advance.. Said materials must be properly prepared <br />and separated by Generator and placed in Food Waste Collection Containers or other designated <br />separation method, at the designated Generator site or from some other specifically defined location. <br />The County, Contractor, or Generators shall provide Food Waste Collection Containers at all sites for <br />
