Provider will use the data from the Orange County Solid Waste recycling <br /> composition study conducted by Kessler Consulting in April and May of 2019 (the <br /> "Kessler Study") to establish the composition of Orange County recycling for <br /> calculating the revenue share, contamination percentage and processing fee the <br /> first 60 days (July and August of 2019) of the contract. An average of the Orange <br /> County composition as established by the Kessler Study and the current Provider <br /> composition for their Raleigh MRF, as set forth in Table 1 below, will be used to <br /> establish the composition of Orange County recycling for calculating the revenue <br /> share, contamination percentage and processing fee for the months of September <br /> and October of 2019. <br /> Provider, at its sole cost and expense, will, during the month of September 2019, <br /> conduct a composition study of Orange County recycling material delivered to <br /> Provider and compare the resulting composition to the Kessler Study. Both parties <br /> agree to review the results by 10-31-19, to determine the composition to calculate <br /> the AMV through June 30`", 2020. If the parties cannot agree on a composition <br /> effective as of November 1, 2019, either party has the right to terminate the <br /> agreement upon 120 days written notice. During the 120 day notice period, an <br /> average of the composition percentages from each study shall be used to determine <br /> the composition to be used for calculating the revenue share, contamination <br /> percentage and processing fee. <br /> The methodology of auditing shall be objective and must be approved by the County.
