NORTH CAROLINA <br /> <br />ORANGE COUNTY CONTRACT AMENDMENT #1 <br /> <br /> <br /> <br />THIS CONTRACT AMENDMENT ("Amendment") is made and <br />entered into this 1st day of July, 2019 by and between ORANGE <br />COUNTY (hereinafter referred to as "County") and WASTE INDUSTRIES, <br />LLC (hereinafter referred to as "Provider"). <br /> <br />WITNESSETH: <br /> <br />THAT WHEREAS, the County and Provider entered into a contract dated <br />February 18, 2014 for weekly urban curbside <br />recycling collection services within three <br />municipalities in Orange County (hereinafter the "Original <br />Agreement"); and <br /> <br />WHEREAS, the County and Provider desire to amend the Original <br />Agreement while keeping in effect all terms and conditions of the <br />Original Agreement, as amended, not inconsistent with the terms and <br />conditions set forth below. <br /> <br />NOW THEREFORE, for and in consideration for the mutual covenants and <br />agreements made in the Original Agreement, as amended, and herein, the <br />parties agree to amend the Original Agreement, as amended, as follows: <br /> <br /> <br />1. The Term of the Original Agreement is hereby extended until June 30, 2024. <br /> <br />2. In Paragraph 5(a), Compensation for Services, the maximum amount payable for <br />Services is hereby increased to Five Million Dollars ($5,000,000.00). This amount <br />shall not be exceeded without written amendment duly executed by authorized <br />representatives of both parties. Effective July 1, 2019, County shall hereby <br />compensate Provider for collection services at a rate of $3.93 per unit per month, , <br />which rates may be subject to an annual adjustment on July 1 of each year beginning <br />July 1, 2020 in an amount not to exceed four percent (4%). Provider shall invoice the <br />County on a monthly basis based on the number of carts, which at the time of <br />execution of this amendment is estimated to be 18,968. <br /> <br />3.
