In the event there are no Members entitled and qualified to vote,these Bylaws <br /> may be amended as provided by the applicable provisions of the North Carolina Planned <br /> Community Act and/or the North Carolina Nonprofit Corporation Act. <br /> Section 11.07 Self-Dealiny-, Each Director, Officer and agent of the Association shall <br /> disclose in the written minutes of the Board of Directors any contract or agreement of any kind <br /> between the Corporation and any person or entity to which he is related by blood or marriage or in <br /> which he has an interest,whether direct or indirect. <br /> Section 11.08 Conflicts. In the event of any conflict between any mandatory provision <br /> contained in the North Carolina Planned Community Act and/or the North Carolina Nonprofit <br /> Corporation Act and any provision contained in the Declaration, the Articles of Incorporation <br /> and/or these Bylaws,the mandatory provision contained in the North Carolina Planned Community <br /> Act and/or the North Carolina Nonprofit Corporation Act,as applicable, shall control. In the event <br /> of any conflict between any provision contained in the Declaration and any provision contained in <br /> the Articles of Incorporation and/or these Bylaws, the provision contained in the Declaration shall <br /> control. In the event of any conflict between any provision contained in the Articles of <br /> Incorporation and any provision contained in these Bylaws, the provision contained in the Articles <br /> of Incorporation shall control. <br /> Section 11.09 Effective Date.
