DocuSign Envelope ID:815F210A-8B41-4FA5-9E00-6E68ADE7BD3A <br /> [Departmental Use Only] <br /> TITLE CEF OCPEH Contract <br /> FY 18-19 <br /> NORTH CAROLINA <br /> SERVICES AGREEMENT UNDER $90,000.00 <br /> NO RFP/RFQ <br /> ORANGE COUNTY <br /> This Services Agreement (hereinafter "Agreement"), made and entered into this 1st day of <br /> April, 2019, ("Effective Date") by and between Orange County, North Carolina a political <br /> subdivision of the State of North Carolina (hereinafter, the "County") and Community <br /> Empowerment Fund, (hereinafter, the "Provider"). <br /> WITNESSETH: <br /> WHEREAS, the County and Provider entered into a contract dated November 1, 2016, to <br /> provide coordinated entry database maintenance and development services to the Orange County <br /> Partnership to End Homelessness (the "Original Contract"); and <br /> WHEREAS, Provider continued to provide coordinated entry database maintenance and <br /> development services following expiration of the Original Contract on May 31, 2017; and <br /> WHEREAS, the County desires to compensate Provider for the provision of coordinated entry <br /> database maintenance services rendered between May 31, 2017 and the Effective date of this <br /> Agreement, in exchange for new consideration named herein; and <br /> WHEREAS, the County further desires to contract for the ongoing coordinated entry databased <br /> maintenance and development services of Provider, and Provider desires to provide these <br /> services to the County. <br /> NOW THEREFORE, the County and Provider, for the consideration herein named, do hereby <br /> agree as follows: <br /> 1. Services <br /> a. Scope of Work. <br /> i) This Agreement is for services to be rendered by Provider to County with respect <br /> to (insert type of project): Ongoing database maintenance and updates and/or <br /> upgrades to database, as described in more detail in the attached Exhibit A: Scope <br /> of Work. <br /> ii) By executing this Agreement, the Provider represents and agrees that Provider is <br /> qualified to perform and fully capable of performing and providing the services <br /> required or necessary under this Agreement in a fully competent, professional and <br /> timely manner. <br /> iii) Time is of the essence with respect to this Agreement. <br /> Revised 12/18 <br /> 1 <br />
